*ST敦種(600354.SH)擬轉讓部分股權及資產 剝離食品加工與貿易板塊資產
格隆匯8月31日丨*ST敦種(600354.SH)公佈，公司擬將其持有的部分公司股權及資產通過股權轉讓及資產出售的方式轉讓給酒泉寒旱經濟投資集團有限公司(以下簡稱“寒旱經投”)，其中以股權轉讓方式進行的交易標的為公司持股的5家全資子公司及1家控股子公司的股權；以資產出售方式進行轉讓的資產為寧夏種子分公司的資產。交易價款總額為人民幣1.9576億元。
公司擬出售的股權資產包括：公司持有的甘肅省敦煌種業蔬菜種苗有限公司100%股權；公司持有的酒泉敦煌種業農業科技有限公司100%股權；公司持有的甘肅省敦種隆豐生態農業發展有限公司100%股權；公司持有的甘肅敦煌種業油脂有限公司100%股權；公司持有的甘肅省敦煌種業包裝有限公司100%股權；公司持有的敦煌種業農業科技(上海)有限公司51%的股權。
公司擬出售的不動產及其他實物資產是指公司持有的寧夏種子分公司的位於寧夏回族自治區銀川市賀蘭縣寧夏農產品物流中心緯三路以北種子加工廠廠區內房屋建(構)築物及土地使用權及其他固定資產。
近年來，公司嚴格落實“聚焦種業”的戰略方針，積極推進業務聚焦與資產優化，並逐步剝離食品加工與貿易板塊與種子行業版塊中競爭優勢不明顯的資產。本次資產出售完成後公司將收到1.96億元轉讓對價、收回子公司佔用上市公司資金1.00億元並減少有息債務約1.09億元，有利於公司進一步優化資產負債結構，集中資源發展種子主業，符合公司發展戰略和長遠利益。
公司本次轉讓6家子公司股權及出售寧夏分公司資產後，將減少資產總額5.15億元，減少負債總額4.46億元，減少淨資產6885.72萬元，預計增加1.31億元左右的合併報表收益。
本次資產剝離後，公司原納入合併範圍的子公司減少7家至20家。本次資產剝離預計取得收入1.96億元，收回子公司佔用上市公司資金1.0015億元。敦煌種業為上述子公司提供擔保合計1.3億元，其中敦煌種業農業科技(上海)有限公司佔用上市公司資金5090萬元，併為上市公司提供擔保9000萬元。
