二六三(002467.SZ)擬45.798萬元受讓中科國力0.9%股權
格隆匯 8 月 7日丨二六三(002467.SZ)公佈，公司擬以自有資金人民幣45.798萬元受讓潘小珍持有的中科國力(鎮江)智能技術有限公司(“中科國力”或“標的公司”)0.9%的股權(“標的股權”)。2020年8月7日，公司與潘小珍簽署《股權轉讓協議》，潘小珍擬以45.798萬元的交易價款向公司轉讓其持有的中科國力0.9%股權。
中科國力是智能信息處理國家重點試驗室的產業化應用基地，主要承擔技術的產品化和推廣工作。以企業知識管理、智能語義理解、智能搜索、多渠道智能客服、大數據分析、機器學習為主營方向，長期專注於電信領域的客服系統的智能化，先後和NEC中國研究院、廣東移動、聯想集團、中國電信研究院、中國電信號百集團、上海電信、安徽電信等大型機構與企業開展合作；致力於銀行、保險、證券等金融領域智能客服、數據挖掘、風險監控的技術推廣。
中科國力致力於通過AI賦能，圍繞行業應用場景，構建了AI+B相互融合的應用落地模式，基於企業(政府、機構)運營、營銷、服務等重點工作打造了前端智慧聯結與交互、中端智能響應與協同、後端智慧分析與反饋的智能服務與產品體系，不僅推動AI在客户交互體驗提升領域的落地，而且深化實踐了IA(智能增強)的應用邏輯，幫助企業實現內部智能化應用改造與升級，推動了企業前台個性化體驗、中台策略性引擎，後台標準化能力相配合的智慧應用能力。主要產品包括：主動營銷機器人、智能客服機器人、實體機器人、智能客服助理、智能工單，智能質檢、智能知識庫，內部智能問答等。
基於中科國力智能語義理解、智能搜索、多渠道智能客服、大數據分析、機器學習等核心技術及業務經營情況，長期專注於電信等領域的客服系統的智能化業務發展方向及未來市場前景，公司有未來長期投資中科國力的規劃。
鑑於公司關聯自然人潘小珍持有中科國力0.9%的股份，此次受讓關聯自然人持有的股份，旨在消除後續進一步投資因構成關聯方共同投資可能產生的利益衝突、非公允性傾向等潛在風險；此次交易完成後，潘小珍將不再持有中科國力的股份，公司與中科國力的其他股東不存在關聯關係，有利於後續投資決策的獨立性。
