海航投資(000616.SZ):擬10.89億元收購恆興聚源59%份額
格隆匯 8 月 5日丨海航投資(000616.SZ)公佈,近期,海投控股基於自身戰略發展及現金流平衡等因素,希望出售其持有的部分曼哈頓34街REITs項目基金份額。為融入國家戰略,響應國家政策,打造公司自貿港REITs平台公司,基於對該項目的瞭解及審慎評估,公司認為曼哈頓34街REITs項目具備可靠的收益預期,價格優勢明顯。公司擬以約10.89億元收購公司股東海投控股所持境內合夥企業恆興聚源59%份額。
曼哈頓34街REITs項目為位於紐約曼哈頓西34街與十大道交接處的土地開發項目,該項目已於2014年4月取得土地權,計劃於2022年第三季度完工,該項目規劃開發為寫字樓,預計可出租面積約283萬平方英尺。
根據鐵獅門提供的2020年一季度報告,曼哈頓34街REITs項目工程方面,垂直施工在持續進行中,項目鋼架已搭建至31層,混凝土澆築超過了22層,並在部分區域開始進行幕牆安裝,計劃於2022年三季度完工。租賃方面,根據鐵獅門2020年一季度報告,項目已完成預租賃面積約150萬平方英尺,佔總可租賃面積的52%。根據鐵獅門提供的2020年一季度報告顯示,因疫情原因,目前施工暫停。
近期,海投控股基於自身戰略發展及現金流平衡等因素,希望出售其持有的曼哈頓 34街REITs項目基金份額。結合2020年6月1日,國務院印發的《海南自由貿易港建設總體方案》,其中部分內容涉及到“跨境資金流動自由便利。堅持金融服務實體經濟,重點圍繞貿易投資自由化便利化,分階段開放資本項目,有序推進海南自由貿易港與境外資金自由便利流動”等。
海航投資作為國內擁有境內類REITs與境外REITs實戰經驗的上市公司,下一步會密切關注自貿港REITs領域的參與、投資機會,同時也會關注境外REITs投資機會。而恆興聚源作為海南島內運營主體公司,也將同步密切關注REITs領域新的投資機遇。公司基於對此次交易標的項目基本現狀、項目開發進度、價格優勢及上市公司未來收益預期等情況瞭解及審慎評估,認為該項目具備可靠的收益預期,價格優勢明顯,公司決定擬以支付現金的方式收購公司股東海投控股所持境內合夥企業恆興聚源59%份額。此次收購完成後,公司將間接持有恆興聚源66.14%合夥份額,併合並恆興聚源報表。在未來再投資、退出等決策談判時,相對更為簡要便利。
