國光電器(002045.SZ)：智度股份及其一致行動人成為公司第一大股東
格隆匯 8 月 4日丨國光電器(002045.SZ)公佈，2020年7月13日，公司控股股東廣西國光投資發展有限公司(“廣西國投”)與周峯簽訂《股份轉讓協議》，廣西國投將其所持公司約2810.3萬股股份(佔公司股本總額的6%)轉讓給周峯。
公司於近日收到廣西國投的通知，其已收到中國證券登記結算有限責任公司深圳分公司出具的《證券過户登記確認書》，此次協議轉讓的股權過户登記手續已辦理完畢，過户日期為2020年8月3日。
智度科技股份有限公司(智度股份)及其一致行動人拉薩經濟技術開發區智恆諮詢有限公司、北京泛信壹號股權投資中心(有限合夥)及蘇州工業園區惠真股權投資中心(有限合夥)合計持有的股份為約7739.51萬股，佔總股本的16.52%。此次協議轉讓過户完成後，智度股份及其一致行動人成為公司第一大股東。
2020年7月22日，遵義華洋企業諮詢服務中心(有限合夥)、遵義華本企業諮詢服務中心(有限合夥)、遵義華海企業諮詢服務中心(有限合夥)、遵義華聲企業諮詢服務中心(有限合夥)(以下統稱“轉讓方”)與深圳智度惠信新興產業股權投資基金合夥企業(有限合夥)(“惠信基金”)簽訂了《股權轉讓協議》，將其直接、間接合計持有的廣西國投56.26%股權轉讓給惠信基金。惠信基金是智度集團有限公司(“智度集團”)的一致行動人。
截止目前，惠信基金已將此次股權轉讓第一筆40%的交易款支付給轉讓方。此次股權轉讓後，智度集團及其一致行動人廣西國投、智度科技股份有限公司、拉薩經濟技術開發區智恆諮詢有限公司、北京泛信壹號股權投資中心(有限合夥)及蘇州工業園區惠真股權投資中心(有限合夥)將合計持有公司1.41億股股份，佔公司股本總額的29.9978%，智度集團及其一致行動人為合計持有公司股份的第一大股東，智度集團將成為公司間接控股股東。該事項需依法履行必要的監管部門審批、核准、備案及工商變更等程序，能否最終完成尚存在不確定性。
