9天7板經緯輝開(300120.SZ)提示風險：諾思收入規模小且近年持續虧損
格隆匯 7 月 30日丨經緯輝開(300120.SZ)公佈，鑑於公司股票交易價格近期波動較大，公司特別提醒廣大投資者，理性判斷、謹慎投資、注意投資風險，並提示相關風險如下：
公司於2020年7月20日披露了關於公司對諾思(天津)微系統有限責任公司(“諾思”)進行投資的公告。2020年7月21日晚間收到深交所創業板公司管理部下發的《關於對天津經緯輝開光電股份有限公司的關注函》(創業板關注函[2020]第361號)，公司已於2020年7月24日對該關注函做出書面説明並對外披露。此次對外投資可能存在以下風險：
1、股價漲幅過高的投資風險
公司股價短期整體漲幅較大。截止目前公司生產經營穩定，不存在應披露而未披露事項。此次投資1.23億元還需要股東大會審議通過。未來6個月優先期內是否繼續實施2.25-4.5億增資存在很大不確定性，敬請投資者關注風險，審慎投資。
2、諾思不能持續經營風險
諾思當前資金緊張，存在拖欠員工工資的情況，市場開拓能力不足，收入規模小，近年來持續虧損，如果諾思持續經營不善，將存在持續虧損的可能，存在資金斷裂，不能持續經營的風險。同時，由於公司近年來經營不善，持續虧損，融資能力不足，企業福利下降，諾思雖與核心人才簽訂有競業禁止協議，保護期一般2年，諾思核心人才仍存在大量流失的風險。
3、潛在訴訟的風險
安華高科技通用IP(新加坡)公司2018年起訴諾思及龐慰，請求判定專利號為(ZL201010267632.6)專利歸原告所有。除該項技術訴訟外，不排除諾思或其核心技術人員存在國內或國外其他訴訟情況，此類訴訟會影響諾思相關產品的生產。
4、諾思74%股權出質，諾思可能存在實際控制權發生變更情況
南昌高新置業向公司股東南昌曲易企業管理中心(有限合夥)借款3億元事項，南昌高新置業已經向法院提起訴訟，將公司及股東列為被告，申請償還債務，並申請拍賣質押的諾思74%股權償還債務。如果法院拍賣諾思74%股權，諾思股東存在變更的情況。屆時新股東可能有新的訴求，比如改選董事長、重新制定融資計劃，甚至違約不繼續履行此次增資事項等。
