珠海港(000507.SZ)擬以現金要約收購興華港口100%股份 明起復牌
格隆匯 7 月 29日丨珠海港(000507.SZ)公佈，為進一步增強公司主營港口業務的發展動力，實現西江流域和長江流域港航、物流網絡體系協同效應，公司擬通過全資子公司珠海港香港有限公司(“珠海港香港”)向聯交所主板上市公司——興華港口(01990.HK)全體股東發起自願性有條件全面現金要約，擬以現金要約收購興華港口100%的股份，若成功完成此次全面要約收購，興華港口將從聯交所退市。
經公司向深圳證券交易所申請，公司股票自2020年7月30日上午開市起復牌。
截止目前，興華港口共對外發行的總股本為814,412,028股，其中黃健華、黃漢發、黃美玉、黃美美(兄弟姐妹關係，以下簡稱“黃氏家族”)通過個人、共同持有及信託(BOS Trustee Limited )方式合計持股約60.81%，為興華港口的實際控制人。
2020年7月29日，黃氏家族、興華港口另一股東Petroships Investment Pte.Ltd.(“Petroships”，持有興華港口9.56%股份)及曾繁如(擁有Petroships 90%權益)已與珠海港香港簽署《不可撤銷承諾書》，承諾按珠海港香港及興華港口根據香港《公司收購及合併守則》3.5條向興華港口全體股東發出的自願性有條件全面現金要約聯合公告(以下簡稱“3.5公告”)的要約價格接受要約。
此次要約收購興華港口100%股權的對價約21.15億元港幣，每股2.597元港幣(如興華港口公告或宣派有關股份的任何股息、分派及/或資本回報，要約價格將相應扣除)，約佔公司最近一期經審計淨資產的36.77%。
截止目前，公司未持有興華港口的任何股份，與黃氏家族、Petroships不存在關聯關係，此次交易不構成關聯交易，也不構成《上市公司重大資產重組管理辦法》規定的重大資產重組。
