藍色光標(300058.SZ)：子公司擬4283.5萬美元收購Madhouse18.09%股權
格隆匯 7 月 20日丨藍色光標(300058.SZ)公佈，公司於2020年7月20日召開第五屆董事會第三次會議，審議通過了《關於全資子公司以自有資金取得Madhouse Inc.部分股權的議案》。公司之全資子公司藍瀚(上海)科技有限公司(“藍瀚科技”)擬與First East Sun Millennium Inc.(“FESM”)等方簽訂《股份購買協議》，藍瀚科技將以自有資金約4283.5萬美元的交易對價進一步收購FESM所持有的Madhouse Inc.(“Madhouse”)約3985.23萬股股份，佔Madhouse總股本的18.09%。此次收購完成後，藍瀚科技將持有Madhouse100%的股權。
藍瀚科技將以4283.5萬美元的交易價格分兩步購買FESM所持有的Madhouse 約3985.23萬股普通股，對應股份比例為18.09%；其中第一步為藍瀚科技以1331.08萬美元的交易價格購買FESM所持有的Madhouse 1992.62萬股普通股，對應股份比例為9.04%，第二步為藍瀚科技以2952.42萬美元的交易價格購買FESM所持有的Madhouse 1992.62萬股普通股，對應股份比例為9.05%。
Madhouse是一家立足中國市場，利用智能的移動廣告平台和技術幫助國際品牌及本土品牌通過移動終端與消費者取得實時有效的溝通和市場傳播的數字營銷服務公司。Madhouse擁有自主開發的廣告投放系統，主要從事基於其自有服務平台的移動端的品牌類廣告的國內推廣和手機應用的海外推廣。
公司此次增持Madhouse股權是公司分步完成收購Madhouse的步驟之一。自2017年7月7日完成對Madhouse 81.91%股權收購以來，Madhouse已經較好地融入藍色光標，且業績發展狀況良好。此次增持Madhouse股權將實現藍瀚科技對Madhouse的全資控股權，增強藍瀚科技在移動營銷領域的競爭力，有效發揮協同效應，提升公司的盈利能力，促進公司長遠持續發展。
