大華股份(002236.SZ)：擬12億元轉讓華圖微芯100%股權
格隆匯 7 月 8日丨 大華股份(002236.SZ)公佈，2020年7月8日，公司與杭州淦成、紹興淦盛、豐航投資、陽明智行、贛州大宇、陳和宇、寧波華淩、舟山知芯、舟山巍芯(合稱“乙方”或“乙方各方”)簽訂了《關於浙江華圖微芯技術有限公司之股權轉讓協議》，甲方擬將持有的華圖微芯100%的股權轉讓給乙方，乙方擬受讓該等股權。
根據北京中企華資產評估有限責任公司出具的《浙江大華技術股份有限公司擬轉讓股權涉及的浙江華圖微芯技術有限公司股東全部權益價值項目資產評估報告》[中企華評報字(2020)第3735號]，以2020年4月30日為評估基準日，採用收益法確定的華圖微芯股東全部權益評估價值約11.96億元；同時依據甲乙雙方簽訂的《股權轉讓協議》的相關約定，交易各方最終協商確定華圖微芯100%股權的轉讓價格為人民幣12億元。此次交易完成後，公司將不再持有華圖微芯股權。
華圖微芯及其全資子公司主要從事SoC芯片以及數模混合芯片設計及相關業務。此次擬轉讓華圖微芯100%股權，是公司根據自身戰略定位及未來發展規劃，基於聚焦核心主業的戰略考慮，進一步優化公司業務結構，提高現有資源配置效率。交割完成後，華圖微芯不再是公司子公司，不再納入公司合併報表範圍，將有利於公司集中優勢資源做好主營業務，提升經營效率和質量。
公司此次轉讓所持華圖微芯100%股權，以華圖微芯2020年4月30日賬面值為基礎計算，將一次性確認轉讓利得，預計處置長期股權投資產生的税後利得約9.41億元，佔公司最近一期經審計淨利潤的29.78%。此次股權轉讓後華圖微芯不再納入公司的合併報表範圍，後續將減少該項業務所帶來的淨利潤，華圖微芯2019年度的模擬合併報表淨利潤為5241.38萬元，佔公司最近一期經審計淨利潤的1.66%。此次關聯交易對公司的獨立性不會產生影響，不會對公司日常經營產生不利影響，不存在損害公司及全體股東，特別是中小股東利益的情形。不存在由上市公司為交易對方提供財務資助或擔保的情況。
