茂業商業(600828.SH):成商控股擬與關聯方崇德物業成都分公司簽署物業服務合同
格隆匯 7 月 7日丨茂業商業(600828.SH)公佈,因經營發展的需要,公司全資子公司成商集團控股有限公司(“成商控股”)擬與關聯方崇德物業管理(深圳)有限公司成都分公司(“崇德物業成都分公司”)簽署《物業服務合同》,委託崇德物業成都分公司負責成商控股位於成都市錦江區東御街19號的“茂業天地(南區)”物業管理服務。物業服務內容包括物業及配套設施的維護、養護、管理、保潔、運行、地面交通和車輛秩序管理等服務。物業服務範圍包括“茂業天地(南區)”第28-46層寫字間和物業公用區域及公共設備設施。物業服務費支付方式為:對第28-46層寫字間中,成商控股用於對外出租的第28-44層寫字間,由承租户(物業使用人)按照人民幣24元/平方米/月(含空調費)標準支付給崇德物業成都分公司,前述物業尚未出租期間的物業管理服務費,由崇德物業成都分公司向成商控股提供免費物業服務;就成商控股自用的第45-46層寫字間(面積共計3996.52平方米)的物業管理服務費,由成商控股按人民幣19.5元/平方米/月標準支付給崇德物業成都分公司;就崇德物業成都分公司承擔的公用區域管理髮生的公共費用以及對共有設備設施維護維修產生的費用,由成商控股和崇德物業成都分公司按照各自管理建築面積佔比承擔。
物業服務期限自2020年7月1日至2023年6月30日止共計三年服務期,根據《物業服務合同》約定,成商控股需向崇德物業成都分公司支付的物業服務費用總計約為人民幣280.56萬元。
崇德物業成都分公司為專業從事物業經營管理的公司,具有多年物業服務管理經驗,其總公司崇德物業具備由住房和城鄉建設部頒發的物業管理壹級資質,能夠滿足“茂業天地(南區)”物業的服務管理要求,可為公司及物業其他使用人提供良好的辦公環境。此次《物業服務合同》的簽署符合公司經營發展的需要,公司主營業務不會因此次關聯交易對關聯方形成依賴,不會影響公司獨立性。此次關聯交易不會對公司的獨立運營、財務狀況和經營結果形成不利影響。
