南京公用(000421.SZ):與金基通產共同開發南京江北NO.新區2020G03地塊
格隆匯 7 月 3日丨南京公用(000421.SZ)公佈,公司全資子公司南京中北盛業房地產開發有限公司於2020年5月27日參與南京江北NO.新區2020G03地塊土地使用權競拍,以人民幣19.9億元(樓面地價22975.89元/㎡)、自持租賃住房建面2600㎡成功競得該地塊。上述事項已經公司第十屆董事會第二十四次會議及公司2019年年度股東大會審議通過。
根據董事會及股東大會決議,成功競得南京江北NO.新區2020G03地塊後,為高效、有序地完成該地塊的開發建設,授權公司經營層在法律、法規、規範性文件允許的範圍內,採取自主開發或與品牌開發商合作開發的方式,打造優質項目。現將後續進展事宜公告如下:
南京中北盛業房地產開發有限公司(“中北盛業”或“甲方”)與南京金基通產置業有限公司(“金基通產”或“乙方”)於2020年6月9日簽署了《關於南京江北NO.新區2020G03地塊項目之合作開發協議》,雙方約定中北盛業與金基通產就南京江北NO.新區2020G03地塊開發建設住宅項目開展合作。
2020年6月9日,甲乙雙方共同投資設立了南京中北金基置業有限公司(“項目公司”),註冊資本1億元,其中中北盛業認繳註冊資本5100萬元,持股比例51%,金基通產認繳註冊資本4900萬元,持股比例49%。
甲乙雙方確認,項目運營所需資金峯值預計為21億元,項目運營所需資金峯值對應資金,由甲乙雙方按照各自持有項目公司股權比例通過繳付認繳的註冊資本金及提供股東借款的方式向項目公司提供資金支持,其中甲方應承擔不高於10.71億元資金支持,乙方應承擔不高於10.29億元資金支持。雙方明確,甲乙雙方各自向項目公司所提供的資金中,除各自認繳的項目公司註冊資本以外的資金,均以甲方、乙方向項目公司提供股東借款的方式提供,甲方、乙方向項目公司提供的每筆股東借款的年利率為6%。
上述與品牌開發商合作開發事宜已經公司第十屆董事會第二十四次會議及公司2019年年度股東大會審議通過。
