華君國際集團(00377.HK)擬收購物業及光伏生產製造設備
格隆匯 6 月 30日丨華君國際集團(00377.HK)發佈公告，2020年6月30日，公司間接全資附屬華君電力科技(江蘇)有限公司作為買方與句容思麥特智能科技有限公司(賣方A)就收購資產A訂立協議A，代價A為人民幣8700萬元。同日，華君電力科技(江蘇)有限公司與華君電力(句容)有限公司(賣方B)就收購資產B訂立協議B，代價B約為人民幣2.72億元。
代價將由買家絕對酌情決定以現金或發行可換股債券的方式支付，可換股債券附帶權利可按每股換股股份38.00港元(可予調整)轉換為換股股份。假設可換股債券的全部本金已發行且換股權按換股價悉數行使，則約1028.97萬股換股股份可按換股限制分別向該等賣方或其各自的代名人配發和發行，換股股份佔公司現有已發行股本的約16.72%，以及佔本公司經配發及發行換股股份擴大後的已發行股本約14.32%。公司將向聯交所申請批准換股股份上市及買賣。換股價每股38.00港元相當於協議日期收市價11.00港元溢價約245.45%。
資產A包括目標物業A及生產及製造光伏相關產品有關的各種設備，如劃線機、自動串焊機及電池串自動鋪設串聯機等。誠如賣方A告知，目標物業A位於江蘇省句容市郭莊鎮機場工業集中區，作工業用途，總佔地面積為約6.57萬平方米及總建築面積為約4.18萬平方米。據賣方A告知，目標物業A目前為一家可用於生產光伏相關產品的製造工廠。
資產B包括目標物業B及生產及製造光伏相關產品有關的各種設備，如全自動清洗機、全自動脱膠機、金剛線截斷機等。誠如賣方B告知，目標物業B位於江蘇省句容市郭莊鎮的部分土地，作工業用途，總佔地面積為約10.73萬平方米及總建築面積為約4.3萬平方米。根據協議B，上述土地的49畝(約等於3.26萬平方米)將不構成資產B的一部分。因此，目標物業B的總土地面積約為7.4萬平方米。據賣方B告知，目標物業B目前為一家制造工廠，用於生產光伏相關產品。
