順豐控股(002352.SZ)：擬開展資產證券化暨關聯交易
格隆匯 6 月 29日丨順豐控股(002352.SZ)公佈，為盤活存量資產、提升資金使用效率，2020年度，公司擬繼續以下屬全資子公司深圳市豐泰電商產業園資產管理有限公司(“順豐豐泰”)持有的物流產業園為標的資產設立資產支持專項計劃，並通過專項計劃發行資產支持證券募集資金。
深圳匯智聚信投資管理有限公司(“匯智投資”)設立信盛順豐產業園三期私募股權投資基金(“私募投資基金”)，私募投資基金規模不超過15億元人民幣。順豐豐泰認繳基金全部份額成為私募投資基金初始基金份額持有人，首次出資繳納1000萬元人民幣。
華泰證券(上海)資產管理有限公司(“華泰資管”)擬發起設立華泰佳越-順豐產業園一期第3號資產支持專項計劃，併發行資產支持證券募集資金以平價受讓順豐豐泰所持全部私募投資基金基金份額，並完成剩餘私募投資基金繳納出資義務。華泰資管已於2018年11月21日獲深圳證券交易所批覆《關於華泰資管“華泰佳越-順豐產業園一期資產支持專項計劃”符合深交所掛牌條件的無異議函》(深證函〔2018〕666號)，無異議函批覆儲架規模合計50億元人民幣，2年內有效，本期專項計劃系儲架額度內第3期，本期發行的資產支持證券總規模不超過15億元人民幣，資產支持證券包括優先級證券和權益級證券，其中優先級證券規模佔比預計不高於60%，剩餘為權益級證券。順豐豐泰將以自有資金認購部分權益級證券，認購份額預計不超過權益級證券規模的20%。
順豐豐泰持有嘉興市豐泰電商產業園管理有限公司(“嘉興豐泰”)、寧波市豐泰電商產業園管理有限公司(“寧波豐泰”)、無錫市豐泰電商產業園管理有限公司(“無錫豐泰”)、鹽城市豐泰電商產業園管理有限公司(“鹽城豐泰”)和泉州市豐預泰企業管理有限公司(“泉州豐泰”)100%股權。私募投資基金將從順豐豐泰獲得嘉興豐泰、寧波豐泰、無錫豐泰、鹽城豐泰和泉州豐泰的全部股權，華泰資管以私募投資基金基金份額為基礎資產發行資產支持證券並申請在深圳證券交易所掛牌交易。此次交易完成後，嘉興豐泰、寧波豐泰、無錫豐泰、鹽城豐泰和泉州豐泰公司將不屬於上市公司合並報表範圍。
