開元股份(300338.SZ)：控股股東羅建文擬協議轉讓5.01%股份予龍愛玲
格隆匯 6 月 24日丨開元股份(300338.SZ)公佈，公司於2020年6月23日收到公司控股股東、實際控制人羅建文的通知，獲悉羅建文與龍愛玲簽署了《股權轉讓協議》，羅建文擬以協議轉讓的方式向龍愛玲轉讓其持有的公司無限售流通股1720萬股，佔目前公司總股本的5.01%。此次股份轉讓的價格均為7.05元/股，股份轉讓總價款共計人民幣約1.21億元。
2020年4月14日，公司召開第四屆董事會第四次會議和第四屆監事會第三次會議審議並通過《關於公司與江勇、馮仁華、江勝、張小金、李星餘、廣州恆萱簽訂<關於相關條款終止法律約束力之約定>的議案》，該議案尚需提交公司股東大會審議通過；同時也審議並通過了2020年非公開發行A股股票的相關議案，非公開發行股票事項尚需公司股東大會審議通過，深圳證券交易所審核通過並經中國證監會同意註冊後方可實施。能否取得上述審核通過或註冊，以及取得上述審核通過或註冊的時間具有不確定性，敬請廣大投資者關注並注意投資風險。
根據非公開發行股票方案，此次非公開擬發行8116.39萬股股份，其中江勇認購28,024,502股股份，趙君認購2205.21萬股股份，江勝認購627.87萬股股份，南京瑞森投資管理合夥企業(有限合夥)認購24,808,575股股份。此次非公開發行完成後，公司總股本將增加至4.24億股。
此次權益變動完成後及此次非公開發行完成後，江勇及一致行動人將合計持有公司1.19億股股份，佔公司總股本比例為27.92%；羅建文、羅旭東和羅華東(未考慮截至公告披露之日羅旭東尚可最大限度減持1029.87萬股)合計持有公司5060.69萬股股份，佔公司股份總數的比例為11.92%；考慮到羅旭東最大限度實施減持計劃(截至公告披露之日羅旭東尚可最大限度減持1029.87萬股)，羅建文、羅旭東和羅華東合計將持有公司4030.82萬股股份，佔公司總股本比例為9.50%。公司實際控制人將由羅建文、羅旭東和羅華東變更為江勇。
若前述議案未能取得股東大會審議通過、深圳證券交易所審核通過以及中國證監會同意註冊，此次權益變動完成後，公司有可能變更為無實際控制人。
