ST天業(600807.SH)與天禹置業簽署協議書
格隆匯 6 月 19日丨ST天業(600807.SH)公佈，2019年4月12日，公司第九屆董事會第十九次會議審議通過《關於審議收回深圳天盈實業有限公司股權的議案》，同意公司與深圳天盈實業有限公司(“天盈實業”)、山東天禹置業有限公司(“天禹置業”)簽署《協議書》，收回天盈實業51%股權，截至目前，天禹置業未能按上述協議約定將其持有天盈實業51％股權過户至公司。
天盈實業與相關方簽署羊台山莊房地產項目投資合作協議書以來，受當地政策影響，項目進展較緩慢，目前仍處於立項申報階段，後續開發時間較長且存在不確定性，繼續推進該項目將擠佔公司資源和資金；同時考慮到天禹置業持有天盈實業股權期間，為推進項目，開展了大量富有成效的工作，並持續看好項目開發前景，有意繼續推動，本着互利、共贏的原則，經雙方協商後簽署協議書，由天禹置業繼續推進深圳羊台山項目的開發建設直至項目結束並完成清算，天禹置業不再將天盈實業51%股權過户給公司，由天禹置業協助公司收回對天盈實業的投入，並待羊台山項目清算後，將51%股權對應的項目可分配利潤的50％支付給公司。
公司與天禹置業簽署的《協議書》主要內容如下：鑑於天禹置業未能按2019年4月簽署的《協議書》的約定將持有的天盈實業51%股權過户至公司名下，雙方協商後同意，該協議生效後，天禹置業無需將股權過户給公司，雙方按照如下約定執行：
1、天禹置業應全力推進深圳羊台山項目的開發建設直至項目結束並完成清算。
2、該協議簽訂後，天禹置業協助公司收回對深圳羊台山項目的投入；深圳羊台山清算後，天禹置業將51%股權對應的項目可分配利潤的50％支付公司。
3、自該協議生效後，雙方應及時辦理交接手續。雙方應遵守誠實信用原則，保守祕密，不得有損於任何一方之行為。否則，應承擔違約責任。
4、因該協議產生的糾紛由雙方協商解決，協商不成，任何一方可向合同簽訂地人民法院起訴。
5、該協議自雙方簽字蓋章並經公司履行完相應審批程序後生效。
此次交易是綜合考慮羊台山項目開發現狀及公司實際，經雙方協商後確定的，未來公司將按一定比例參與項目利潤分配，交易公平、合理，不存在損害公司和股東利益的情形；協議生效後公司不再負責羊台山項目的運作，有助於公司將資源和資金集中到正在開發的項目及新項目投拓，提升公司資源利用效率；此次交易預計不會對公司本期利潤產生影響。
