保誠(02378.HK)宣佈訂立276億美元的美國再保險協議，並獲Athene Holding Ltd對其美國業務作出5億美元的股權投資
格隆匯 6 月 18日丨保誠(02378.HK)公佈，董事會今天已與領先的退休服務公司Athene HoldingLtd("Athene")達成協議，由其附屬公司Athene Life Re Ltd對保誠的美國業務投資5億美元，以換取11.1%的經濟利益(涉及9.9%的投票權益)。Athene的投資將用於Jackson以增強其資本基礎。
Athene Life Re Ltd亦已根據一項長期安排將Jackson美國定額年金及定額指數年金負債的276億美元有效業務組合悉數以再保險分出。Athene的投資方式將為以現金認購由包含保誠美國業務的控股公司Brooke(Holdco 1)Inc發行的新普通股權。保誠在美國的業務包括總部位於密歇根州蘭辛、擁有一流產品、分銷和運營的前兩大年金供應商之一Jackson National LifeInsurance Company("Jackson")，以及總部位於伊利諾伊州芝加哥的資產管理公司PPM AmericaInc。
投資及再保險交易的合併效應預計將使Jackson以風險為基礎的資本覆蓋率提高約80個百分點。
保誠將繼續籌備首次公開發售Jackson的少數權益，同時積極評估其他選擇方案，以建立一個獨立的美國業務。保誠將於八月份公佈的上半年度業績內進一步更新有關資料。交易完成後，保誠的美國業務將獲得地位崇高的Athene作為其重點投資者，為Jackson及其發展帶來長期的投入，而同時保誠亦可維持其業務在策略上的靈活性。
保誠集團執行總裁MikeWells表示："鑑於Athene的團隊在美國年金領域擁有深厚的專業知識，並對該行業的發展有長期投入，我們很高興能與他們建立新的合作關係。此項協議是為了實現我們對Jackson的策略目標而邁出的關鍵一步。"
