大悦城地產(00207.HK)擬5.78億元收購相之悦房地產開發50.1%股權
格隆匯6月11日丨大悦城地產(00207.HK)發佈公告,2020年6月11日,公司的間接全資附屬公司上海鵬利與中糧地產投資(北京)訂立收購協議,據此,中糧地產投資(北京)已有條件同意出售目標公司50.1%股權,代價約為人民幣5.78億元。
目標公司蘇州市相之悦房地產開發有限公司為一間於中國成立的有限公司,於該公告日期,其為一家由中糧地產投資(北京)與公司獨立第三方蘇州相城投資分別擁有50.1%及49.9%股權的合營公司。目標公司主要從事土地開發。
於2017年11月,目標公司以總收購成本約人民幣37.31億元收購位於江蘇省蘇州市相城區元和街道御窯路西、黃蠡路兩側的土地。土地由商業及住宅用地組成。商業及住宅用地的總佔地面積分別約8.4萬平方米及約9.4萬平方米,而總規劃建築面積分別約33.15萬平方米及約31.6萬平方米。土地上開發的住宅物業已於2018年開始預售,而於土地開發的所有住宅物業預期於2021年底前全部竣工。土地上開發的商業樓宇預期於2021年落成及開業。
