格隆匯6月9日丨光啟技術(002625.SZ)公佈，公司於2020年6月5日收到中國證監會浙江監管局下發的《監管問詢函》(浙證監公司字【2020】第55號)，現將函件全文公告如下：
“光啟技術股份有限公司：
你公司於2020年5月26日披露了《關於擬收購Hyalroute Communication Group Limited 7.52%股權的公告》，擬變更募集資金用途以26312.18萬美元收購Fiber Network Limited、Innovation Planet Limited和Galaxy Giant Limited的下屬子公司100%股權，從而間接持有Hyalroute Communication Group Limited(“海容通信”或“標的公司”)合計7.52%的股權。現請你公司就下列事項作出書面説明、提供相關材料，於2020年6月9日前報送我局，並在收到和回覆問詢函時及時對外披露。
一、請説明本次收購接洽商談至最終確定的過程，包括但不限於具體時間、涉及人員、具體事項，簽訂協議和聘請中介機構時間、具體盡調和評估進展情況。
二、根據評估機構的估值説明，本次納入估值範圍的資產主要為企業建造的房產、鐵塔資產、定位數據中心及電信網絡等，分佈在柬埔寨、緬甸及菲律賓等國，請説明評估機構是否嚴格履行實地查勘程序，如是，請披露具體時間，如否，請説明評估機構程序是否到位，依據是否充分，評估結果是否合理。請評估機構對上述內容出具專項説明。
三、你公司公告稱在《交易協議》中轉讓方承諾將承擔直接標的公司在本次交易交割前的全部負債，請詳細説明具體負債明細、承諾內容、履行保障情況。
四、請詳細披露你公司穿戴式智能頭盔產品2019年主要銷售數據、業務佔比等情況，公告稱“國內訂單和收入持續穩步增長，為上市公司帶來豐厚的收入與利潤”具體依據。
五、你公司公告稱穿戴式智能頭盔產品“目前銷售已覆蓋到意大利、沙特、阿聯酋、加拿大、印度、哥倫比亞、智利、埃及、南非等全球35個國家和地區”，請詳細披露35個國家和地區的具體銷售數據。
六、你公司自2017年非公開募集資金到賬至今多次變更募集資金項目，請自查你公司歷次變更時可行性分析是否謹慎客觀，是否存在隨意性，募集資金的使用與計劃是否一致，募集資金使用決策程序及信息披露是否合規。
七、請詳細説明你公司賬面貨幣資金的具體用途及存放管理情況，是否存在受限或與大股東及關聯方資金共管等情形。
八、請詳細説明你公司截至2019年12月31日銀行存款情況，包括但不限於存放銀行、具體金額、受限情況、受限原因、受限期限等。你公司控股股東、一致行動人及關聯方是否在上述銀行存在借款，如是，請自查你公司是否為其借款提供擔保等情況。
九、截至目前，你公司控股及一致行動人質押股份佔其所持你公司股份的93.54%，你公司控股股東及一致行動人是否存在資金緊張及佔用你公司資金情況。
十、你公司需要説明的其他事項。”
