田中精機(300461.SZ)及相關人員收到浙江證監局行政監管措施決定書
格隆匯6月9日丨田中精機(300461.SZ)公佈，公司於2020年06月09日收到中國證券監督管理委員會浙江監管局(“浙江證監局”)下發的《關於對浙江田中精機股份有限公司及其相關人員採取出具警示函措施的決定》的行政監管措施決定書([2020]34號)。《決定書》具體內容如下：
浙江田中精機股份有限公司、錢承林、張玉龍、陳弢:
經查,浙江證監局發現浙江田中精機股份有限公司存在以下信息披露不準確、不及時的情況:
一、2019年半年度業績預告與半年度報告存在較大差異且未及時修正
2019年7月15日，公司披露《2019年半年度業績預告》，預計2019年半年度淨利潤為1,400萬元至2,583萬元。2019年8月30日，公司披露《2019年半年度報告》，2019年半年度淨利潤虧損9,554.52萬元，且未及時進行修正。
二、未及時披露重大訴訟
2019年4月至6月，公司控股子公司深圳市遠洋翔瑞機械有限公司陸續發生對外訴訟，訴訟金額合計20,052.54萬元，佔公司2018年度經審計歸屬於上市公司股東淨資產的81.98%，公司未及時披露上述訴訟。
公司的上述行為違反了《上市公司信息披露管理辦法》第二條、第三十條的規定；董事長錢承林、總經理張玉龍、董事會祕書兼財務總監陳弢對上述違規事項應承擔主要責任，違反了《上市公司信息披露管理辦法》第三條的規定。按照《上市公司信息披露管理辦法》第五十八條、第五十九條的規定，浙江證監局決定對公司、錢承林、張玉龍、陳弢採取出具警示函的監督管理措施，並記入證券期貨市場誠信檔案。公司及相關人員應充分吸取教訓，加強相關法律法規學習，提高規範運作意識，認真履行信息披露義務；履行勤勉盡責義務，促使公司規範運作，保證信息披露的真實、準確、完整、及時、公平。公司及上述人員應當在2020年6月19日前向浙江證監局提交書面整改報告。
如果對監督管理措施不服的，可以在收到決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
