延安必康(002411.SZ)：擬8億元向實控人控制的公司收購與冷鏈倉儲有關的土地使用權及資產
格隆匯5月27日丨延安必康(002411.SZ)公佈，為進一步提升資產運營效率，貫徹醫藥產業鏈戰略佈局，培育新的盈利增長點，公司擬與徐州北盟物流有限公司(“北盟物流”)簽署《資產轉讓協議》，收購北盟物流擁有的位於江蘇新沂市經濟開發區的與冷鏈倉儲有關的土地使用權及資產。
根據北京中林資產評估有限公司出具的中林評字【2020】170號《評估報告》，標的資產的評估價值為人民幣97233.02萬元；經雙方協商，此次標的資產的轉讓價格確定為人民幣8億元。
北盟物流為公司實際控制人李宗鬆控制的公司，根據《深圳證券交易所股票上市規則》及相關法律法規的規定，北盟物流為公司關聯法人，此次交易構成關聯交易。
擬收購的標的資產為北盟物流擁有的位於江蘇新沂市經濟開發區的與冷鏈倉儲有關的土地使用權及資產。該冷鏈倉儲項目實際佔地面積359.36畝，總建築面積約為158,709.80㎡，含6座冷庫，項目於2021年1月5日投入運營後的儲存能力約為22.06萬噸，屬於國內規模較大的冷鏈倉儲物流中心。
江蘇省系國內主要農副產品生產及加工地區，同時也是國內醫藥生產企業聚集地之一，此次擬收購的冷鏈倉儲項目所在的新沂市是蘇北第三大工業城市，地處環渤海經濟區與長三角經濟區之間，公路、鐵路及航空運輸便利。冷鏈倉儲項目擁有產業、地理、交通優勢，項目投入運營後對公司深化醫藥產業戰略佈局、不斷增強盈利能力產生積極影響。同時，對建立高標準醫藥冷鏈物流具有重大意義，可滿足疫苗、血液、生物藥劑等冷鏈醫藥產品市場的不斷擴大，醫藥冷鏈物流的需求不斷提高，醫藥冷鏈物流質量管理不斷提升的趨勢和需求。
實際控制人李宗鬆為幫助公司順利開展融資業務，此次擬收購的資產已於2019年3月抵押至東莞農村商業銀行用於為公司向該行申請的人民幣8億元貸款提供擔保。
公司此次收購冷鏈倉儲資產將完善公司下屬商業流通公司江蘇必康新陽醫藥有限公司冷鏈倉儲、配送業務，有利於推進公司在醫藥行業的戰略佈局，降低倉儲成本，提高物流及藥品管理效率。
公司此次收購冷鏈倉儲資產除部分用於醫藥商業自營外，剩餘部分可對外租賃，根據北盟物流已達成的意向性訂單，預計2021年開始，冷鏈倉儲項目年租賃收入不低於人民幣7000萬元，對公司的盈利能力將產生積極影響。
公司此次資產收購價款將通過指示工程建設方以公司已支付的工程預付款支付給交易對方，有利於公司以債權置換更優質的資產，提高資產運營效率。
