金山軟件(03888.HK)上調與小米集團(01810.HK)訂立的框架協議項下年度上限
格隆匯5月26日丨金山軟件(03888.HK)發佈公告，公司與小米曾於2019年12月2日訂立框架協議，以規範雙方截至2022年12月31日止3個年度持續進行的若干交易，據此，(i)集團將向小米集團提供若干綜合服務，主要包括雲服務、推廣服務、郵箱定製開發服務及廣告代理服務；(ii)集團將與小米集團共同經營由集團提供的遊戲；(iii)集團將向小米集團提供硬件產品（主要包括獨立第三方製造的伺服器、存儲設備、負載均衡器及其他硬件產品）；(iv)小米集團將向集團提供若干綜合服務，主要包括推廣服務、軟件開發服務、餐廳服務以及其他配套服務；及(v)小米集團將向集團提供產品，期限為截至2022年12月31日止3個年度。
董事會估計小米集團於3個年度就集團根據框架協議提供廣告代理服務而應付的費用的現有年度上限將不足以滿足集團於截至2022年12月31日止3個年度的需求。因此，於2020年5月26日，董事會建議修訂現有年度上限。
現有年度上限分別為人民幣2264萬元、人民幣2491萬元及人民幣2830萬元。於修訂年度上限後，小米集團於3個年度就集團根據框架協議提供廣告代理服務而應付的費用的年度上限將分別增至人民幣1.5億元、人民幣1.65億元及人民幣1.95億元。除上述修訂外，框架協議的所有其他條款保持不變。
公司稱，隨着市場發展及集團市場開拓能力的提升，市場對小米集團廣告服務的需求日益增加，集團對小米集團廣告代理的任務額完成率也相應增加。基於集團於2020年第一季度的表現，預期年度廣告代理任務的完成率也將大幅提高。因此，廣告代理服務所產生的收益亦將大幅增加。公司一直密切監控實際交易金額。經計及上述理由及2020年第一季度的實際交易金額，董事會估計現有年度上限將不足以滿足集團於3個年度的需求，故董事會已決定提高現有年度上限。
