大北農(002385.SZ)：擬1.16億元收購金色農華李紹明和季衞國合計11.29%股權
格隆匯5月19日丨大北農(002385.SZ)公告，公司於2020年5月25日召開了第五屆董事會第三次會議，審議通過了《關於收購控股子公司少數股權暨關聯交易的議案》。
北京金色農華種業科技股份有限公司(以下簡稱“金色農華”)系本公司設立的主要經營水稻、玉米等農作物種子的控股子公司。目前國家重視種子行業發展，出台諸多利好政策，金色農華作為一傢俱有研發優勢的育繁推一體化企業，面臨重大的發展機遇。依託國家對種業科技創新的政策支持，藏糧於技、藏糧於地；突出在當前複雜背景之下，種業和糧食生產的基礎性和關鍵性地位，助力百姓米袋子工程；也為了推進公司科技創新發展戰略，整合內部資源(科技和營銷)，提升決策效率，增強可持續發展能力，公司擬用自有資金收購金色農華李紹明先生和季衞國先生共計持有的11.29%的股權，收購完成後，金色農華變為公司的全資子公司。
本次交易對方之一季衞國先生為公司第四屆監事會主席，目前離任未滿12個月，為公司關聯方。根據《深圳證券交易所股票上市規則》和《公司章程》等有關規定，公司收購季衞國先生持有金色農華的股權構成關聯交易。
按照前次2019年12月公司收購金色農華少數股東部分股權交易時的估值10.3億元計算，本次轉讓價款總額為：1.1630323億元
交易標的的基本情況
1、公司名稱：北京金色農華種業科技股份有限公司
2、註冊資本：41,250萬元
3、註冊地點：北京市海淀區中關村大街27號19層1901B
4、法定代表人：李軍民
5、經營範圍：技術開發；銷售、進出口農作物種子；生產、加工稻、雜交稻、雜交玉米(限分支機構經營)；包裝、批發、零售雜交稻、雜交玉米(農作物種子生產經營許可證有效期至2022年06月07日)；包裝、批發、零售稻(農作物種子生產經營許可證有效期至2023年10月08日)。(企業依法自主選擇經營項目，開展經營活動；依法須經批准的項目，經相關部門批准後依批准的內容開展經營活動；不得從事本市產業政策禁止和限制類項目的經營活動。)
本次股權收購的目標公司為公司原控股子公司，不存在新的投資風險。本次收購股權的資金來源於公司自有資金，不會對公司的正常經營、未來財務狀況和經營成果產生不利影響，不會損害公司及股東特別是中小股東的權益。
