光啟技術(002625.SZ)：擬間接收購海容通信7.52%股權 加速在穿戴式智能裝備領域的國際化推廣
格隆匯5月25日丨光啟技術(002625.SZ)公佈，公司擬通過全資香港子公司Hong Kong Wise Laos Limited、Hong Kong WiseCambodia Limited、Hong Kong Wise Myanmar Limited(以下合稱“香港SPV”)與Fiber Network Limited(“Fiber公司”)、Innovation Planet Limited(“Innovation公司”)、Galaxy Giant Limited(“Galaxy公司”，“Fiber公司”、“Innovation公司”與“Galaxy公司”合稱“交易各出讓方”)簽署《股權買賣協議》(“《交易協議》”)，約定香港SPV以約2.63億美元(摺合約18.74億人民幣)的價格購買交易各出讓方所持有的RuiceLimited(“Ruice公司”)的100%股權、Ever Explorer Limited(“Ever公司”)的100%股權、以及Victorious Sail Limited(“Victorious公司”，“Ruice公司”、“Ever公司”與“Victorious公司”合稱“直接標的公司”)的100%股權，並通過交易直接標的公司間接持有Hyalroute Communication Group Limited(“海容通信”或“最終標的公司”)7.52%的股權。
HyalRoute Communication Group Limited主營業務：獨立第三方(中立)光網平台;投資、建設、擁有、運營、維護以“光纖網絡”為核心的通信網絡基礎設施，具體體現為以共享(租、售)方式向電信運營商、互聯網接入提供商、電視運營商及各類型丏網等客户提供“光纖網絡(含幹線網、城域網和接入網)及相關承載載體如管道、機房”等全網通信網絡基礎設施及服務，客户以此為基礎實現快速組網和業務落地。
上市公司主要從事新一代超材料尖端裝備產品的研發、生產及銷售；光感知節點、穿戴式智能裝備產品的研發、生產及銷售。公司憑藉在電磁調製、綜合射頻傳感、功能結構一體化等性能方面的特殊優勢，可滿足各類尖端裝備、穿戴式智能裝備的要求，該類產品對現有產品具有革新及替代作用。與此同時，上市公司利用自身技術優勢和研發實力，在尖端裝備與穿戴式智能裝備領域不斷進行產業整合，優化產品結構，豐富產品類型，實現轉型升級。在鞏固與加強國內市場的基礎上，積極響應國家“一帶一路”戰略，擬通過新建與併購重組等方式，佈局與開拓全球市場。
海容通信是一家在東盟地區以投資、建設、維護及運營通信基礎設施為主營業務的企業，是柬埔寨和緬甸最大的光纖通信網絡基礎設施提供商，也是東南亞光纖通信市場的行業龍頭。當前，海容通信已啟動在老撾、菲律賓、馬來西亞、印尼等東盟其它國家和地區的光纖網絡建設。
此次交易基於上市公司在穿戴式智能裝備領域的市場佈局以及國際化戰略，擬通過上市公司與海容通信進行股權合作，成為其重要股東，藉助海容通信在東盟地區光纖網絡覆蓋優勢，加速上市公司在穿戴式智能裝備領域的國際化推廣，優化公司產品和收入結構，提升公司業績。
