中原內配(002448.SZ)：擬受讓上海電子科技公司部分股權並對其增資
格隆匯5月25日丨中原內配(002448.SZ)公佈，2020年5月25日，公司與控股子公司中原內配(上海)電子科技有限公司(“上海電子科技公司”或“目標公司”)自然人股東羅傑簽訂《股權轉讓協議》，受讓其持有的目標公司部分股權。同時，公司擬以現金方式向目標公司增資。
2020年5月25日，經公司與目標公司自然人股東羅傑友好協商，雙方簽訂《股權轉讓協議》，公司以現金75萬元（含税）受讓羅傑持有的目標公司7.5%的出資額（該出資額尚未實繳到位）。本次股權轉讓完成後公司將持有目標公司70.30%的股權。
同時，為滿足目標公司業務發展需要，解決經營資金需求，經上海電子科技公司2020年第一次臨時股東會決議通過，向目標公司增資人民幣3000萬元，其中公司擬向目標公司增資人民幣2552萬元，對應新增註冊資本人民幣2552萬元。原自然人股東羅傑、羅妍藝分別向目標公司增資人民幣50萬元、195萬元，對應新增註冊資本人民幣50萬元、195萬元。同時，為建立員工激勵長效機制，增強團隊凝聚力，提升員工積極性，目標公司通過設立員工持股平台(有限合夥企業)對公司核心人員實施股權激勵，員工持股平台出資人民幣203萬元，對應新增注冊資本人民幣203萬元，具體認購金額以員工實繳資金而定。
此次增資擴股後，上海電子科技公司註冊資本由人民幣5000萬元增加至人民幣8000萬元，出資形式均為現金。
上海電子科技公司主要專注於汽車電控執行器及其控制器的設計、生產和銷售，產品包括汽油尾氣閥門電控執行器、柴油機智能型電控執行器、汽油機可變截面電控執行器以及控制系統等。目前已進入Garrett(蓋瑞特)、BorgWarner(博格華納)、BMTS(博馬科技)、MHI(三菱重工)、長城(蜂巢動力)、湖南天雁、寧波豐沃等國內外主流增壓器供應商體系，獲得長城汽車、吉利汽車、長安汽車、上汽乘用車等多家國內知名汽車發動機項目搭載定點。其汽油機渦輪增壓器電控執行器系列產品實現了產品體積小、重量輕、集成度高、成本低的優勢，通過更大的關緊壓力、更快的加速響應、更高的燃油經濟力，減少發動機排放，提高了經濟性。滿足國六排放要求，成為國內率先進入國際主流渦輪增壓器企業供應商體系的電控執行器生產企業。
此次對目標公司進行增資，將滿足其未來經營發展的資金需求，有利於優化資產結構，加大研發投入，增強核心競爭力，提升其整體運營能力和盈利能力，促進目標公司的良性運營和可持續發展。目標公司通過電子控制技術與汽車工業的深度融合，有效面向汽車產業前沿，掌握汽車電控產品的核心技術，提升公司核心競爭力，符合公司發展戰略規劃和長遠利益。
