劍橋科技(603083.SH)完成收購 MACOM Japan 部分有形資產和無形資產
格隆匯5月21日丨劍橋科技(603083.SH)公佈，公司與MACOM Technology Solutions Holdings, Inc.(以下簡稱“MACOM”)簽署《戰略合作協議》建立戰略合作伙伴關係並收購MACOM公司日本子公司MACOM Japan Limited(以下簡稱“MACOM Japan或MACOM 日本”)的部分有形資產和無形資產。
2020年5月19日至21日，CIG Tele及其全資子公司CIGTECH JAPAN LIMITED分別向MACOM Japan支付了369.81萬美元和1050.96萬美元，合計支付1420.77萬美元。
至此，公司已向MACOM和MACOM Japan支付完畢本次收購所有應支付款項，本次收購事項全部實施完成。
公司於2019年6月28日召開的2018年年度股東大會審議通過《關於變更部分募集資金投資項目及將部分募集資金永久補充流動資金的議案》，同意公司終止首次公開發行股票募集資金投資項目之“ICT產品工業4.0生產基地項目”並將該項目尚未使用的募集資金人民幣1.12億元及對應賬户孳息(孳息以實際劃轉時餘額為準)的用途變更為“收購MACOM日本部分資產項目”，並使用原募投項目募集資金支付公司收購MACOM Technology Solutions Holdings, Inc.日本子公司MACOM Japan Limited擁有的LR4光組件的有關產品設計和有關產品生產的有形資產和無形資產，以及CWDM4光模塊和光模塊有關產品生產(不含有關產品設計)的無形資產的剩餘對價款1547.6228萬美元，原募投項目剩餘募集資金及對應賬户孳息(孳息以實際劃轉時餘額為準)用於永久補充流動資金。
截至2020年5月20日，CIGTECH JAPAN LIMITED的銀行賬户尚餘未使用的募集資金157.23萬美元，劍橋通訊設備的募集資金專户尚餘對應賬户孳息7.64萬元人民幣。公司將根據2018年年度股東大會決議，將上述剩餘募集資金及對應賬户孳息(孳息以實際劃轉時餘額為準)用於永久補充流動資金，並將全部用於公司的生產經營。
