運達科技(300440.SZ)擬收購運達電氣100%股權 明起復牌
格隆匯5月21日丨運達科技(300440.SZ)披露發行股份及支付現金購買資產並募集配套資金暨關聯交易預案，上市公司擬以發行股份及支付現金的方式購買運達電氣100.00%股權，其中上市公司擬以股份支付的比例為60.00%，擬以現金支付的比例為40.00%。此次交易完成後，運達電氣將成為上市公司的全資子公司。
此次發行股份及支付現金購買資產交易對方之一為西藏立霖，與上市公司屬於同一控制下的企業，為上市公司的關聯方。因此，此次交易構成關聯交易。
此次發行股份及支付現金購買資產交易對方為運達電氣的全體股東，即西藏立霖、何勁鬆、王牣、熊列彬、劉魯潔、李崗、高曙光、陳德明、陳小川、吳風雷、伍園園、何勁鵬、鍾文勝、錢列、鍾選明、李曉航、夏添、蘇斌、李文俊、林國鬆、楊訓、吳英、何順江、周小青、陳雲洲、胡鵬飛、楊修前、羅楊等，合計28名。
經公司申請，公司股票(證券簡稱：運達科技；證券代碼：300440)將於2020年5月22日上午開市起復牌。

此次交易完成後，運達電氣將成為上市公司的全資子公司，有助於上市公司在鐵路牽引供電系統領域延伸業務，同時與自身的牽引供電設備業務形成協同，鞏固和強化上市公司軌道交通電氣自動化業務板塊實力，進一步完善上市公司軌道交通產業鏈佈局，增強上市公司整體業務在軌道交通領域的核心競爭力和盈利能力。
