佛燃能源(002911.SZ)擬劃轉子公司及參股公司股權 整合綜合能源業務及上游LNG業務資源
格隆匯5月21日丨佛燃能源(002911.SZ)公佈，為推進公司綜合能源業務的發展，公司設立了佛山市順德藍宇能源有限公司(以下簡稱“藍宇能源公司”)、佛山市三水藍聚能能源有限公司(以下簡稱“藍聚能公司”)、佛山市高明中明能源有限公司(以下簡稱“中明能源公司”)和肇慶新為能源有限公司(以下簡稱“新為能源公司”)，並設立了專門從事綜合能源業務管理的全資子公司華粵能公司。
公司擬將持有的藍聚能公司100%股權、新為能源公司100%股權、藍宇能源公司60%股權和中明能源公司51%股權劃轉至華粵能公司。劃轉完成後，公司不再直接持有藍聚能公司、新為能源公司、藍宇能源公司和中明能源公司股權，由華粵能公司作為投資運營平台持有。
為進一步整合和拓展上游LNG業務資源，公司成立了全資子公司華昊能公司，以其作為公司上游LNG相關業務的投資管理平台。公司擬將持有的與上游LNG業務相關的股權劃轉至華昊能公司：
1.將公司持有的廣東大鵬液化天然氣有限公司(以下簡稱“廣東大鵬公司”)2.5%股權和深圳大鵬液化天然氣銷售有限公司(以下簡稱“深圳大鵬公司”)2.5%股權劃轉至華昊能公司。劃轉完成後，公司不再直接持有廣東大鵬公司、深圳大鵬公司股權，由華昊能公司作為投資運營平台持有。
2.將控股子公司佛山市天然氣高壓管網有限公司(以下簡稱“高壓管網公司”)持有的廣東珠海金灣液化天然氣有限公司(以下簡稱“珠海金灣公司”)3%股權和廣東粵港能源發展有限公司(以下簡稱“粵港能源公司”)100%股權劃轉至與高壓管網公司股權結構相同的控股子公司佛山市華拓能能源投資有限公司(以下簡稱“華拓能公司”)；在滿足特定税務政策要求的條件後，將公司持有的華拓能公司64%股權劃轉至華昊能公司。待上述劃轉完成後，高壓管網公司不再持有珠海金灣公司和粵港能源公司股權，由華昊能公司通過華拓能公司間接持有。
公司將持有的各經營區域綜合能源業務子公司股權劃轉至華粵能公司，有助於提升公司在綜合能源業務領域的整體運作效率和專業化管理水平，有利於公司綜合能源業務的發展；將持有的上游LNG業務相關股權劃轉至華昊能公司，有助於整合公司產業鏈上游相關業務資源，有利於公司進一步向產業鏈上游拓展。
