興民智通(002355.SZ)：旗下英泰斯特與北理新源簽署成立發展共同體合作協議
格隆匯5月21日丨興民智通(002355.SZ)公佈，公司旗下子公司武漢英泰斯特電子技術有限公司(“英泰斯特”或“甲方”)於2020年5月21日與北京理工新源信息科技有限公司(“北理新源”或“乙方”)簽署了《成立發展共同體合作協議》，在“優勢互補、相互支持、實現共贏、創新合作、共同發展”的原則下，雙方決定成立發展共同體，建立長期互利的全面深度合作關係。合作內容如下：
1、雙方共同在基於智能網聯汽車領域的通信技術、平台建設、數據採集分析、服務運營、智能車載終端等業務方面開展全面深入合作，合作內容包括但不限於車載V2X應用、雲服務平台建設、大數據中心建設、汽車信息管理平台建設、車聯網監管平台建設、大數據運營服務、智能終端研發以及相關產品的銷售等。
2、雙方發揮各自產品優勢，甲方以硬件終端設計、生產為主，乙方以軟件平台研發為主，雙方聯合開發軟硬件結合的車聯網綜合解決方案與服務體系，充分整合雙方在市場、技術、成本等方面的資源，充分發揮各自在系統平台、車載終端等方面的研發與經驗優勢，共同為客户提供具有優質體驗價值和社會價值的產品及整體解決方案。
3、雙方積極探索創新合作模式，共同成立發展共同體，深入開展新能源汽車監測、國五、國六商用車遠程排放監測及其相關業務方面的唯一性排他合作。產品方面，雙方集結技術優勢聯合打造統一的硬件終端、軟件平台；市場方面，雙方發揮各自銷售資源優勢，形成“同產品、雙渠道”的強大市場協同合力，精準高效為客户實現價值。
4、雙方建立長效合作機制，發展共同體領導小組由甲方母公司興民智通(集團)股份有限公司董事長、乙方董事長共同組成；領導小組下設日常合作推動團隊，指定雙方總經理為團隊負責人，指定雙方市場、技術負責人為職能接口人，對具體開展的合作項目狀況及時溝通並迅速處理。
5、作為合作伙伴，在乙方的相關演示、峯會、展會等品牌活動中，甲方應選擇性提供相關應用方案和品牌活動的支持；同樣在甲方的相關演示、峯會、展會等品牌活動中，乙方作為合作伙伴，應選擇性提供相關應用方案和品牌活動的支持。雙方在對外宣傳合作成果時需經過對方審核並取得書面同意意見，並帶上對方品牌。
該協議的順利實施，有利於雙方發揮各自專業化優勢，促進雙方實現優勢互補、資源共享，提升服務能力，共同開拓和擴大市場，有利於進一步提升公司綜合競爭力，符合公司整體的戰略佈局。
