中電興發(002298.SZ)擬參與廣西聯通綜合改革合作項目
格隆匯5月19日丨中電興發(002298.SZ)公佈，公司於2020年5月19日召開了第八屆董事會第十五次會議，審議通過了《關於公司參與廣西聯通綜合改革合作項目的議案》，同日公司與中國聯合網絡通信有限公司廣西壯族自治區分公司(以下簡稱“廣西聯通”)簽訂了《中國聯合網絡通信有限公司廣西壯族自治區分公司綜合改革合作協議》。該項目協議總投資金額為6.66億元，佔公司最近一期經審計的營業收入的24.2%。
在中國聯合網絡通信集團有限公司(以下簡稱“聯通集團”)的指導下，廣西聯通將從2020年開始，在其所轄區域的部分本地網(即7個地市分公司)實施引入民營資本和民營企業的改革。2019年12月26日，公司通過廣西聯通《廣西聯通社會化合作運營項目》的招募評選程序，成為廣西聯通綜合改革的合作方，由公司承包運營廣西聯通4個地市分公司(貴港、梧州、欽州、百色)的業務。
廣西聯通負責匯聚層及以上傳送系統及管線(包括一干、二幹及本地骨幹網)、IP城域網及業務支撐系統、移動核心網及業務支撐系統、網建平台、固定核心網及業務支撐系統、核心機房及配套基礎設施、匯聚機房及配套基礎設施、樞紐機房及配套基礎設施、應急通信設備設施、自有辦公營業場所、企業信息化和網絡IT系統的投資，形成的資產以下簡稱為“核心網資產”。
公司負責無線網、物聯網(無線網部分)、匯聚層以下基站傳輸接入網(傳送系統及管線)、綜合接入機房及配套基礎設施、OLT及以下部分寬帶接入網、政企接入網及創新業務的投資、立項/可研、設計、採購、建設、開通、驗收、監理、環評、審計、優化技改及搬遷等工作，所形成的新增資產以下簡稱為“合作方接入網資產”。對於不含在以上“核心網資產”和“合作方接入網資產”範圍以內的新增投資部分，由廣西聯通與公司協商確認投資主體。
在2030年12月31日前，公司向4個地市分公司(貴港、梧州、欽州、百色)提供5.3億元的投資資金，就合作方接入網資產的設計、採購、建設及開通進行投資。
在2025年12月31日前，公司向4個地市分公司(貴港、梧州、欽州、百色)提供1.36億元的投資資金，就政企創新業務進行投資。
本次合作將進一步強化公司與聯通的協同合作，有助於公司數字中國、智慧社會業務的相關多元化發展，加速技術、市場與客户資源整合，打造智慧科技創新產業生態圈。通過與廣西聯通深度合作創新業務，也將推進公司智慧行政區域(黨政與民學)、智慧國防(軍隊)、智慧時空(東西南北中)市場的開拓，奠定“以智慧中國業務為龍頭，以4G/5G新通信業務和新一代光纖網絡業務為兩翼的主營業務”加速發展格局，促進公司在數字中國、智慧社會業務的建設、投資與運營等方面的更好發展。
本次合作的首次合作期至2030年12月31日。首次合作期滿，市運營公司及合作方在首次合作期內未出現違約，公司與廣西聯通繼續簽訂運營合作協議，協議期為五年。合作期屆滿後，雙方是否繼續合作，由雙方協商決定，並另行簽署書面協議約定。
