偉能集團(01608.HK)：VP公司應向合資公司出資合共9000萬美元
格隆匯5月18日丨偉能集團(01608.HK)公佈，有關EPGE就三個分別位於緬甸Thaketa、Thanlyin及Kyauk Phyu的發電項目向由集團及其戰略伙伴組成的聯合體授予承諾書。於2020年5月18日，公司及VP公司(公司的間接全資附屬公司)與中技資本公司、中技公司及合資公司訂立股東協議，以協定規管(其中包括)VP公司與中技資本公司作為合資公司股東的關係的條款。
根據股東協議，VP公司應向合資公司出資合共9000萬美元，有關出資將會以集團內部資源繳付。
於2019年底獲得發電項目的中標確認後，公司及中技公司成立合資公司及其附屬公司以建立企業及業務架構。自合資公司註冊成立以來及截至公告日期，合資集團並無開展任何業務營運，故此，其於截至2019年12月31日止年度並無錄得任何收益或溢利，且於2019年12月31日並無任何重大資產或負債，就支付設立合資集團成本而從中技公司集團及集團獲得預付款所產生者除外。
合資集團已開展發電項目工程、購入若干液化天然氣供應的物流設施及開始搭建其管理、項目營運及液化天然氣物流團隊。預期發電項目將於2020年第二季度開始投入商業營運。
由於合資公司由VP公司及中技資本公司各自擁有50%權益，而於完成出資以滿足資本承擔後將繼續維持該股權架構，合資公司為並將繼續為集團的合資公司。集團成立合資公司以從事合資業務並訂立股東協議以規管(其中包括)VP公司與中技資本公司作為合資公司股東的關係。
集團與中技公司均認為，緬甸作為一帶一路倡議的主要國家，其發電行業將於未來數年實現龐大增長，原因是目前的電氣化率僅為50%左右，而緬甸政府鋭意於2030年前實現電氣化率100%。為抓緊龐大的增長潛力，合資集團現正於緬甸興建首座液化天然氣發電站。液化天然氣將在低碳能源系統的重塑過程中擔當重要角色，尤其是小型的液化天然氣發電營運和業務模式的增長將較以往更為強勁。成立合資公司以發展發電項目預期將加強及實現集團與中技公司的戰略及協同合作關係，憑藉雙方的專長、技術優勢、財務資源及營運平台，發掘液化天然氣發電的商機。
