通源石油(300164.SZ)擬5.44億元購買一龍恆業71.011%股權 明起復牌
格隆匯4月20日丨通源石油(300164.SZ)披露發行股份及可轉換債券購買資產並募集配套資金暨關聯交易預案，公司擬以發行股份及可轉換債券的方式購買一龍恆業除上市公司以外剩餘股東持有標的公司的71.011%股權。根據《購買資產協議》，發行股份及可轉換債券購買資產的交易對價合計暫定為人民幣約5.44億元，其中股份支付的交易對價為約4.11億元，可轉債支付的交易對價為約1.33億元。此次交易完成後，上市公司將持有一龍恆業100%股權。
上市公司擬向不超過35名符合條件的特定投資者非公開發行股份及可轉換債券募集配套資金，發行股份數量(含可轉換債券轉股)不超過發行前公司總股本的30%，募集配套資金總額不超過此次交易中以發行股份及可轉換債券方式購買資產的交易價格的100%。同一認購對象同時認購股份和可轉換公司債券的，視為一個發行對象。證券投資基金管理公司以及其管理的2只以上基金認購此次發行股份或可轉換公司債券募集配套資的，視為一個發行對象。信託公司作為發行對象，只能以自有資金認購。
上市公司發行股份購買資產的發行對象為丁福慶、呂蘭順、秦忠利、陶良軍、裴存民、劉鵬、QM3、北京融拓、盛泰乾源和海寧嘉慧。
根據《盈利補償協議》，此次交易業績承諾的補償義務人為丁福慶、呂蘭順、秦忠利、陶良軍、裴存民、劉鵬。各方同意，此次交易利潤補償的承諾期間為2020年、2021年、2022年和2023年。
盈利補償期間，業績承諾補償方承諾經上市公司聘請的具有從事證券期貨業務資格的會計師事務所審計的一龍恆業扣除非經常性損益後歸屬於母公司股東的淨利潤(剔除匯兑損益影響)於2020年度、2021年度、2022年度和2023年度應分別不低於人民幣6100萬元、7750萬元、8200萬元和8600萬元。
根據相關規定，經公司向深圳證券交易所申請，公司股票將於2020年4月21日上午開市起復牌。
此次交易有助於通源石油鞏固全產業鏈和全球化佈局。從產品及服務範疇來看，通過整合一龍恆業擁有的帶壓作業和連續油管技術服務能力，完善公司鑽井、測井、射孔、完井、壓裂、修井等鑽完井一體化全產業鏈業務。從市場範圍來看，此次交易有助於公司繼續發展以通源北美、通源中國和通源海外三條主線協同發展的戰略，進一步提升國際銷售業績，增強盈利能力，發揮協同效應，優化上市公司整體業務佈局，提升上市公司抗風險能力，符合公司的戰略發展需要。
