先鋒新材(300163.SZ)上修業績預告及業績快報：2019年度淨利潤4901.33萬元
格隆匯4月16日丨先鋒新材(300163.SZ)披露2019年度業績預告及業績快報修正公告，修正前，實現營業總收入4.58億元；營業利潤2603.56萬元；利潤總額3781.06萬元；歸屬於上市公司股東的淨利潤3126.70萬元。
先鋒新材現對公司2019年業績預告及業績快報進行修正，具體內容如下：公司財務部初步預測，預計公司2019年度實現營業利潤4817.85萬元；實現歸屬於上市公司股東的淨利潤4901.33萬元，上年同期虧損2.02億元。
歸屬於上市公司股東的淨利潤修正差異較大的主要原因：
(1)公司通過全資子公司香港聖泰戈持有的KRS公司84.35%的股份通過現金方式轉讓給先鋒乳業集團有限公司，2019年6月公司股東大會通過相關交易的議案並完成交易。在2019年度公司確認處置KRS公司84.35%的股份的處置收益為4499.44萬元，其中屬於權益性交易應當確認為資本公積的金額為3370.21萬元，應當確認為當期投資收益的金額為1129.23萬元。因公司財務部對處置KRS公司股份的處置收益計算有誤，將應當計入當期投資收益的1129.23萬元算作為權益性交易計入了資本公積。
(2)根據2019年9月30日《寧波市海曙區人民政府關於明確重點企業財政扶持政策有關事宜的專題會議紀要》(〔2019〕33號)，公司取得海曙區重點企業財政扶持資金(大股東及一致行動人減持股份個税配套獎勵)，金額218.32萬元，公司於2019年12月25日收到該筆政府補助款，由於該筆款項是由寧波市海曙集士港工業開發實業公司代付，財務部將該筆款項計入了預收賬款，經事後核實，該筆款項確認為營業外收入政府補助。
(3)本年度公司對KRS公司及其子公司的銷售額為6490.82萬元，由於KRS公司持續經營存在重大不確定性，截止至2019年12月31日，公司對KRS公司銷售形成的部分貨款已超過信用期仍未收回，出於謹慎性的原則，公司根據KRS公司及其子公司的現金流量預測分析了KRS公司及其子公司的償債能力，並確定存在的現金流量缺口金額，衝回了應收賬款和營業收入(根據《企業會計準則第14號——收入(2006年版)》第四條規定所述，“相關的經濟利益很可能流入企業”是該準則下確認收入應滿足的一項基本條件，即在收入的確認日，可確認的收入金額最高不應超過依據當日情況測算的很可能收回的金額)，衝回的營業收入的金額為530萬元，由於在計算缺口時採用的是KRS公司的未審數據，KRS公司按照審計後的數據進行測算，不存在資金缺口，截至公告披露日，公司也已收回KRS公司欠公司的貨款。所以財務部重新確認了530萬元的營業收入。
