深高速(600548.SH)擬參設環科產業併購基金 主投工業危廢處置等四類運營類項目

格隆匯4月14日丨深高速(600548.SH)公佈，2020年4月14日，公司、廣東晟創投資管理有限公司(“晟創投資”)、廣東省廣晟金融控股有限公司(“廣晟金控”)、深圳第一創業創新資本管理有限公司(“創新資本”)、佛山市順德區創新創業投資母基金有限公司(“順德母基金”)、江蘇泛能電力工程有限公司(“泛能電力”)簽訂了《晟創—深高速環科產業併購投資合夥企業(有限合夥)之合夥協議》。
同日，公司全資子公司深高速(廣州)產業投資基金管理有限公司(“深高速基金公司”)與晟創投資簽訂了《財務顧問協議》(“顧問協議”，與合夥協議統稱“協議”)。根據合夥協議，各方同意共同投資設立晟創—深高速環科產業併購投資合夥企業(有限合夥)(暫定名，以工商登記機關核准的名稱為準，簡稱“環科產業併購基金”)。環科產業併購基金的全體合夥人的認繳出資總額為人民幣10億元，其中公司的認繳金額為人民幣4.5億元，出資比例為45%。根據顧問協議，晟創投資聘請深高速基金公司為財務顧問，協助其管理環科產業併購基金，並按約定支付財務顧問費用。
基金名稱：晟創-深高速環科產業併購投資合夥企業(有限合夥)(暫定名，以工商登記機關核准的名稱為準)。基金投向：主要投向為工業危廢處置、固廢處置、污水處理、風電新能源四類運營類項目，投資總額不低於基金總規模的 50%，以及與基金所投運營項目行業相關的成熟期節能環保類企業股權。
公司以自有資金參與投資設立環科產業併購基金，是在確保公司主營業務運作正常情況下適度參與風險投資，以獲取更多的投資機會，並最終為了進一步助力公司大環保主業的發展。根據投資規模及投資領域來看，此次投資不會影響公司當期現金流的正常運轉，不會對公司當期財務狀況和經營成果產生重大影響。
