國際實業(000159.SZ)：子公司出售蘇州西路加油加氣站和奇台加油站全部資產
格隆匯4月13日丨國際實業(000159.SZ)公佈，為進一步優化資產結構，根據公司戰略發展需要，控股子公司新疆中油化工集團有限公司(“中油化工”)於2020年4月13日與新疆明鼎中油明盛加油加氣站有限公司(“明鼎明盛公司”)、奇台明鼎中油加油站有限公司(“奇台明鼎公司”)簽訂《資產整體轉讓合同書》、《蘇州西路加油(加氣)站資產轉讓合同》、《奇台路加油站資產轉讓合同》，將中油化工所屬蘇州西路加油加氣站和奇台加油站全部資產分別出售給明鼎明盛公司和奇台明鼎公司，出售總價格為5400萬元人民幣，其中蘇州西路加油加氣站4500萬元，奇台加油站900萬元，分期付款。
此次資產出售後，中油化工不再擁有奇台加油站、蘇州西路加油加氣站資產。
隨着中石油、中石化及地方企業的油品零售網點佈局日益增多，地區加油站市場競爭加劇，盈利空間縮小，自2015年公司根據市場情況，對油品經營業務做出調整，將所屬的加油加氣站全部對外租賃，以租金作為主要收入。為促進商業繁榮，近期，國家出台了《關於加快發展流通促進商業消費的意見》，提出擴大成品油市場準入，將成品油零售經營資格審批下放至地市級人民政府，加強成品油流通事中事後監管，強化安全保障措施落實。該政策的出台，預示着將對加油站經營資格審批權限的放開，零售終端的市場競爭將會進一步加劇。因公司擬轉讓加油站所處地理位置差異，近幾年隨着自治區城際路網的優化和調整，以及城市不斷髮展，各加油站銷量出現分化，為規避市場風險，自2017年公司即對所屬加油站進行對外出售，逐步退出加油站市場，主攻油品批發、倉儲業務，根據公司戰略發展需要，經公司董事會審議通過，作出對上述兩座加油站出售的決定，交易完成後，公司現有加油站業務已處置完畢。
公司從聚焦主業發展考慮剝離部分子公司資產，有利於優化資產結構，集中資金髮展主營業務。此次交易定價是以資產評估值為基礎，協商確定。經初步估算本次交易對公司2020年度業績影響約1700萬元左右(該數值為公司預測數，最終以年度審計為準)。
