容百科技(688005.SH)：證監會決定對公司採取1年內不接受發行人公開發行證券相關文件
格隆匯4月12日丨容百科技(688005.SH)公佈，公司於2020年4月10日收到中國證監會下發的《關於對寧波容百新能源科技股份有限公司採取1年內不接受發行人公開發行證券相關文件的監管措施的決定》((2020)4號，“《行政監管措施決定書》”)。現將《行政監管措施決定書》的具體內容公告如下：
“寧波容百新能源科技股份有限公司：
經查，我會發現你公司在申請科創板首次公開發行股票過程中，招股説明書中信息披露存在以下問題：
一、未充分披露比克動力信用風險大幅增加情況。你公司於2019年7月1日起將比克動力信用額度調整為0，但招股説明書(簽署日為7月16日)中未披露該事項並充分提示風險。
二、未披露比克動力“回款”的實質為以自身開具商業承兑匯票償還逾期應收賬款。在招股説明書中披露“截至2019年6月25日，比克動力通過銀行承兑匯票、商業承兑匯票及電匯合計回款金額為10561.62萬元，回款比例約為49%”。上述還款中，比克動力開具的商業承兑匯票總計7002.84萬元，佔總回款的66.30%，但你公司未披露回款是以自身開具的商業承兑匯票為主的情況。
上述行為違反《科創板首次公開發行股票註冊管理辦法(試行)》(證監會令第153號)第三十四條的有關規定，按照《科創板首次公開發行股票註冊管理辦法(試行)》第七十四條的有關規定，我會決定對你公司採取1年內不接受發行人公開發行證券相關文件的行政監督管理措施。
如果對本監督管理措施不服，可以在收到本決定書之日起六十日內向我會提出行政複議申請，也可以在收到本決定書之日起六個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。”
公司高度重視《行政監管措施決定書》中提到的問題，今後將加強公司董事、監事、高級管理人員及相關人員對《中華人民共和國證券法》、《上市公司信息披露管理辦法》、《上海證券交易所科創板股票上市規則》等相關法律法規和規範性文件的學習，進一步提升規範運作意識。同時，加強公司內部控制管理，切實提高信息披露質量，嚴格按照中國證監會、上海證券交易所的相關要求和規定及時履行信息披露義務，保證信息披露的真實、準確、完整，更好地維護公司全體股東的合法權益。
