澳優(01717.HK)擬8.96億港元收購海普諾凱生物科技餘下15%股份
格隆匯4月9日丨澳優(01717.HK)發佈公告，於2020年4月9日，澳優乳品有限公司作為買方（即公司全資附屬公司）、劉育標先生及劉光楚先生作為賣方及公司訂立海普諾凱生物科技買賣協議，買方已有條件同意收購海普諾凱生物科技出售股份（相當於海普諾凱生物科技（香港）全部已發行股份的15.0%），代價為8.96億港元，由公司透過按海普諾凱生物科技代價股份價格每股12.8港元向賣方配發7000萬股海普諾凱生物科技代價股份的方式償付。
海普諾凱生物科技代價可由海普諾凱生物科技買方全權酌情決定按照買賣協議的條款，透過行使海普諾凱生物科技認購期權下調。於海普諾凱生物科技的完成後，海普諾凱生物科技（香港）及海普諾凱生物科技（均為公司間接非全資附屬公司）將成為公司的間接全資附屬公司。
海普諾凱生物科技（香港）及海普諾凱生物科技主要於香港及中國從事海普諾凱1897系列牛奶粉產品的市場推廣及分銷。海普諾凱生物科技集團於2018年度及2019年度分別取得純利5470萬元及1.735億元人民幣。
公司稱，自於2013年成立起，海普諾凱1897系列產品的銷售獲得顯著進步，併成為集團業務增長的主要動力。具體而言，海普諾凱1897業務單元為集團於截至2018年及2019年12月31日止兩個年度增長最快的業務單元。海普諾凱1897業務單元的財務業績（均於澳優中國及海普諾凱生物科技集團的賬簿內反映）已自截至2013年度起一直綜合計入公司綜合財務報表。自此，海普諾凱1897業務單元已為集團提供持續正面貢獻。
基於中國嬰幼兒配方奶粉市場（尤其是超高端系列）穩健增長；及海普諾凱1897業務單元良好往績；及海普諾凱1897業務單元管理團隊於嬰幼兒配方奶粉業務行業的豐富經驗，公司管理層認為，海普諾凱1897業務單元將繼續穩定增長併為集團帶來正面貢獻。
因此，公司認為海普諾凱生物科技收購事項乃至收購整個海普諾凱1897業務單元將使集團可取得於海普諾凱生物科技集團及海普諾凱1897業務單元的全面控制，以更有效分配集團內部資源；促進海普諾凱生物科技集團及海普諾凱1897業務單元的營運，且由於海普諾凱1897業務單元管理團隊的利益屆時將與公司利益一致，故可改善集團整體營運效率及創造更佳的協同效應；由於部分海普諾凱生物科技代價股份與海普諾凱1897業務單元（包括海普諾凱生物科技集團）直至2020年的表現掛鈎，故可為海普諾凱1897業務單元管理層團隊提供良好激勵計劃；及加強集團於嬰幼兒配方奶粉業務長期增長及發展，而其乃公司的主要長期願景之一。
監於集團已訂下長遠策略計劃，擬躋身營養品（尤其是嬰幼兒配方奶粉產品）行業主要全球業者之列，公司繼續精簡其業務架構及策略，加強建立嬰幼兒配方奶粉全球供應鏈，並建立海外營養品業務。海普諾凱生物科技收購事項可配合集團發展，繼續開發其牛奶基粉嬰幼兒配方奶粉產品板塊，預期可對集團的營運、財務業績及盈利能力起積極作用。
