招商證券(600999.SH)：招商資管(代表資管計劃)提起仲裁 要求林某向其償付剩餘融資本金4.09億元等
格隆匯4月8日丨招商證券(600999.SH)公佈，公司全資子公司招商證券資產管理有限公司(“招商資管”)於近日收到杭州仲裁委員會出具的《受理通知書(普通程序)》((2020)杭仲字第450號)。此次仲裁系招商資管作為招商資管質融寶13號股票質押定向資產管理計劃(“資管計劃”)的管理人，按照資管計劃委託人書面通知，代表資管計劃提起仲裁。案件的最終仲裁結果由委託人實際承擔。
2017年8月，招商資管(代表資管計劃)根據資管計劃委託人的指令，與林某開展股票質押式回購交易業務，向其融出資金人民幣5億元(截至目前剩餘未償還融資本金4.09億元)，擔保人為廣州粵泰控股集團有限公司(“粵泰控股”)和楊某。2018年5月，本案所涉交易的履約保障比例低於最低線，林某未能完成補充質押等措施使履約保障比例高於最低線，亦未提前購回，並自2019年第二季度起未按照協議約定支付當期利息，構成違約，粵泰控股與楊某亦未履行任何擔保責任。
為維護委託人合法權益，招商資管(代表資管計劃)根據委託人書面通知向杭州仲裁委員會提起仲裁，請求依法裁決林某向招商資管(代表資管計劃)償付剩餘融資本金4.09億元，支付利息、罰息及違約金並承擔本案仲裁費、財產保全費；請求裁決粵泰控股與楊某對上述請求下林某所確定的債務承擔連帶清償責任；同時請求招商資管(代表資管計劃)在上述債權範圍內對林某持有並質押的3,937萬股“河鋼資源”(證券代碼：000923)股票以及後續產生的無需支付對價的送股、轉增股份、現金紅利享有優先受償權。
據《招商資管質融寶13號股票質押定向資產管理計劃資產管理合同》的約定，招商資管作為資管計劃管理人，按照委託人的指令進行相關操作，不承擔相關風險及損失，該案所涉及交易損益及仲裁結果最終由資管計劃委託人承擔。目前，公司各項業務經營情況正常，財務狀況穩健，上述仲裁對公司業務經營及償債能力無重大影響。公司將積極採取各項措施維護好公司及投資者的合法權益，並按照法律法規的規定，及時披露相關信息。
