恆大健康(00708.HK)與恆大人壽訂立投資協議 將在南京打造恆大養生谷
格隆匯4月7日丨恆大健康(00708.HK)發佈公告，2020年4月7日，公司全資附屬公司南京恆康、恆大人壽及項目公司訂立投資協議，據此南京恆康同意透過現金和資產注入的方式向項目公司出資；而恆大人壽則同意以現金向項目公司注資，總金額為人民幣14億元，以供項目公司用於相關標的地塊的土地使用權、在建工程收購及╱或後續開發建設。
根據投資協議：(a)南京恆康同意透過注入現金及出資資產(即相關標的地塊的土地使用權)的方式向項目公司出資，經計入南京恆康於項目公司的初步注資(約人民幣2.33億元)，投入總金額相當於約人民幣7.27億元；(b)恆大人壽則同意在達成投資先決條件(或豁免，如適用)的前提下，以現金向項目公司注資總金額人民幣14億元。投資資金中的約人民幣2.07億元部分將計入實收資本，約人民幣11.93億元部分則先計入資本公積，在完成開發建設且項目交付後，轉增約人民幣9.31億元為項目公司的註冊資本。投資前，項目公司由南京恆康直接持有，屬公司的間接全資附屬公司。
項目公司恆寧健康產業南京有限公司為一家於2020年2月26日根據中國法律成立並存續的有限責任公司。於該公告日期，項目公司的註冊資本為人約民幣2.33億元，由南京恆康全數以現金及資產注入形式認繳。公司透過南京恆康(同為公司的全資附屬公司)全資擁有項目公司。項目公司經營範圍主要涵蓋工程建設、醫療及醫院管理、養老服務；六幅標的地塊位於中國江蘇省南京市擬作醫院、商業、老年公寓住宅用途的地塊，淨用面積約為10.85萬平方米。
於該公告日期，項目公司並未開始營運。項目公司於2020年3月1日的未經審核資產淨值為約民幣2.33億元。由於項目公司剛於2020年年初設立，集團預期自視作出售項目公司不會錄得任何盈利或虧損。
南京恆大養生谷項目位踞中國六朝古都南京，地處國家級江北新區，坐攬4A金牛湖風景區，緊鄰輕軌S8號線金牛湖地鐵站，到南京市政府直線距離46公里，以汽車出行大概需時時間約1個小時；距江蘇省人民醫院直線距離49公里，以汽車出行大概需時1個小時11分鐘。項目的所在地屬省內的交通配置良好，地理環境優越的位置；在《江北新區總體規劃(2014-2030)》中，該區域被劃為金牛湖-冶山旅遊度假區，主要以旅遊服務、養生養老功能為主。
為配合集團實行積極推動“健康中國”的企業戰略，以健康項目開發建設為載體，以保障全民健康為前提、提升全民生活品質為願景，以六大系統(全齡化養生系統、多元化養老系統、多層次分級診療系統、精準健康管理系統、國際醫藥器械流通系統、生命科學轉化系統)為驅動，打造拳頭產品恆大‧養生谷，貫徹實施全方位全齡化的健康服務理念。董事會相信，集團的多元化養老系統引入國外持續照料退休社區(CCRC)模式——多功能持續照護型養老社區，與人壽保險公司進行合作，建立“保險+養老”的創新運營模式，能夠開創養老產業新格局。
項目公司將運用南京恆康和恆大人壽的注資，建立於中國江蘇省南京市六合區的南京恆大養生谷CCRC項目，其中結合恆大人壽於保險的專長及運用集團於項目開發建設、養老運營管理及康復產業服務方面的專長。
