夢網集團(002123.SZ)：擬與關聯方余文勝共同投資成立夢網健康
格隆匯4月7日丨夢網集團(002123.SZ)公佈，深圳市夢網物聯科技發展有限公司(“夢網物聯”、“標的公司”)成立於2017年11月10日，系公司下屬控股子公司，為增強夢網物聯資金實力，完善公司戰略佈局，2019年12月17日，公司與夢網物聯、余文勝、張少林、崔世超、尹曉東、陳春玲、深圳市網智偉業投資合夥企業（有限合夥）等各方共同簽署了《深圳市夢網物聯科技發展有限公司增資擴股協議》，夢網物聯的註冊資本由人民幣2000萬元變更為3921.5686萬元，余文勝以新增認繳人民幣392.1569萬元入股夢網物聯，持有其10%股權。
余文勝系公司控股股東、實際控制人，同時任公司董事長兼總經理，根據《深圳證券交易所股票上市規則》及公司章程相關規定，此次交易構成關聯交易，未達到董事會及股東大會審議標準，無需提交董事會及股東大會審議。此次關聯交易不構成《上市公司重大資產重組管理辦法》規定的重大資產重組。獨立董事對此次關聯交易發表了事前認可意見和獨立意見。此次關聯交易未及時披露，給投資者造成不便，深表歉意。
為完善公司業務結構，培育新的利潤增長點，從而促進公司長遠發展，公司擬與關聯方余文勝共同投資成立深圳市夢網健康有限公司(暫定名，以登記機關最終核准的名稱為準，“夢網健康”)。夢網健康註冊資本擬定為人民幣1億元，其中公司擬認繳出資額為3300萬元，占夢網健康註冊資本的33%。
夢網物聯所建設的物聯雲，夢網是專門面對物聯網通信構建的智慧公有云，也是基於以物為終端的富媒體物聯通信平台，其為企業提供各類物聯網卡、通訊模塊、寬帶網絡等產品及行業雲通信平台，目前在車聯網、共享經濟、智能穿戴、快遞物流等行業提供專業化物聯網解決方案。夢網物聯成立之後，以客户需求和前沿技術為導向，對物聯網專用網絡的通道型業務、應用型業務、物聯網終端及芯片模塊等領域持續進行研發投入、不斷儲備技術實力。公司關聯方余文勝此次增資公司下屬子公司暨關聯交易事項，有助於增強夢網物聯公司的資金實力，從而獲取新的戰略發展機遇並加速公司戰略佈局，對於迎接基於5G網絡的萬物互聯時代，具備長期戰略價值。
隨着新冠肺炎疫情在全球不斷蔓延，醫療健康產業獲得了社會的廣泛關注，此次與關聯方余文勝共同投資設立夢網健康，旨在完善公司業務結構，培育新的利潤增長點，有助於增強公司未來的盈利能力和綜合實力。夢網初次涉及醫療健康產業，項目尚處於籌備階段，可能存在盈利週期不確定等風險。
