同得仕(集團)(00518.HK)擬3.04億港元出售深圳同得仕大廈 明日復牌
格隆匯4月2日丨 同得仕(集團)(00518.HK)宣佈，於2020年3月31日，公司與買方森峯有限公司("森峯")訂立買賣協議，以出售公司直接全資附屬公司昇陽(海外)的全部已發行股本及相關貸款，總代價為2.76億元(按協定匯率換算相當於約3.038億港元)，將由森峯透過香港持牌銀行所出具以公司為抬頭人的銀行本票以港幣結付。
據悉，目前，昇陽(海外)為一家物業控股公司，持有於深圳大廈的全部權益。深圳大廈乃名為"同得仕大廈"的工業大廈，位於中國深圳福田區北環路市政二號路，總建築面積為11,033平方米，建於佔地面積約4,319.4平方米的工業用地塊。於公告日期，集團佔用深圳大廈地下及一樓作辦公室、陳列室及輔助用途。
集團預期因出售事項而錄得未經審核除税前收益約2.905億港元，集團將經扣除交易成本後的出售事項所得款項淨額約2.968億港元作如下用途：約1億港元用於待完成後派付特別股息，公司將於完成落實後就此另行發出公告；約1700萬元用於償還集團的銀行借貸；約6500萬港元用於集團的策略重新定位；及約1.148億港元用作餘下集團的一般營運資金
整個時裝及服裝行業經營環境的不明朗因素日益增加，故集團已進一步加強整合於中國的產能，以期長遠節約更多成本並達致更高成本效益。作為集團主要策略舉措之一，集團於2019年7月至9月開始將生產設施及員工合併至集團的中山生產廠房。其後，深圳大廈的製造業務最後已完全併入至集團的中山生產廠房。
于越南，集團一直透過提高生產力及增加生產線，策略性有效擴大其製造能力及營運，為利潤率較高的優質客户服務。集團將繼續向其越南生產廠房投放更多資源。
董事會認為，出售事項乃難能可貴的機會，使集團可實現收益及支持其策略重新定位的現金流量，並將長遠改善本集團的營運及財務前景。於出售事項完成後，集團餘下的成衣製造生產基地將位於越南及中國中山。
此外，公司已向聯交所申請於2020年4月3日上午九時正起恢復股份在聯交所買賣。
