田中精機(300461.SZ)已在事實上失去對遠洋翔瑞及其子公司沃爾夫的控制
格隆匯3月29日丨田中精機(300461.SZ)公佈，為加強對控股子公司深圳市遠洋翔瑞機械有限公司(“遠洋翔瑞”)及控股孫公司惠州沃爾夫自動化設備有限公司(“沃爾夫”)的管控，2019年11月19日，公司派工作組進駐遠洋翔瑞及沃爾夫，但因遠洋翔瑞和沃爾夫工作人員阻擾，導致管控工作受阻。並且，遠洋翔瑞和沃爾夫未按要求配合2019年度財務報表的審計工作，導致遠洋翔瑞及沃爾夫2019年度的財務報表審計無法正常開展。鑑於上述事實，公司對遠洋翔瑞及沃爾夫失去控制。
2016年11月，公司以3.905億元現金收購了龔倫勇、彭君等交易對方所持有的遠洋翔瑞55%的股權。沃爾夫作為遠洋翔瑞的全資子公司，在收購完成後成為公司的控股孫公司。
鑑於遠洋翔瑞業務獨立，且原遠洋翔瑞實際控制人龔倫勇及其彭君作出了業績補償承諾，為滿足遠洋翔瑞及沃爾夫後續經營決策效率的要求，公司未對遠洋翔瑞及沃爾夫主要管理層人員進行調整，遠洋翔瑞及沃爾夫仍主要由原經營管理團隊繼續日常管理。
2019年2月，遠洋翔瑞召開董事會，全體董事一致同意任命田中精機財務部長楊曉芳為遠洋翔瑞公司財務總監；2019年4月，遠洋翔瑞召開董事會免去龔倫勇遠洋翔瑞董事長與總經理的職務，同時任命錢承林為遠洋翔瑞董事長、張玉龍為總經理。對於該董事會決議，董事錢承林、藤野康成表示同意，龔倫勇表示反對。遠洋翔瑞股東李鍾南作為原告向廣東省深圳市坪山區人民法院提起訴訟，要求判決遠洋翔瑞撤銷該次董事會決議，該案一審因原告主張不能成立，已被法院予以駁回，原告不服一審法院作出的判決且已提起上訴，目前二審尚未開庭。
2019年11月19日，公司派出工作組擬接管遠洋翔瑞及沃爾夫。工作組現場要求全面接管遠洋翔瑞及沃爾夫，並出示《任命通知》，解除沃爾夫法人代表、執行董事楊志的執行董事職務，任命張玉龍擔任沃爾夫公司的執行董事。但因遠洋翔瑞及沃爾夫人員阻撓，不服從《任命通知》，導致公司派出的工作組管控受阻，無法履行工作職責。
截止目前，公司仍未能接管遠洋翔瑞合同章，沃爾夫公章、財務章、合同章、營業執照正副本原件等關鍵資料。由於沃爾夫公章未能管控，導致公司無法向市場監督管理局申請變更其執行董事和法定代表人。
2020年1月8日至1月15日，公司委託立信會計師事務所審計人員到遠洋翔瑞及沃爾夫開展現場審計工作，但遠洋翔瑞及沃爾夫對審計工作的配合度較差，審計人員僅蒐集到部分資料。此後，公司多次催討資料並要求遠洋翔瑞同意審計人員再次進場開展現場審計工作，但遠洋翔瑞及沃爾夫工作人員一直拖延，導致審計工作無法順利開展。2020年3月12日遠洋翔瑞財務人員回覆郵件以各種理由拒絕提供相關資料，並且表示將限制田中精機相關工作人員及審計人員進入遠洋翔瑞現場。
2020年3月24日，公司總經理張玉龍和財務總監陳弢到達沃爾夫公司廠區門口，在保安拒不允許其進入廠區的情況下，陳弢聯繫了沃爾夫相關負責人員，但對方拒不接聽電話，導致其無法正常履行工作職責。
截止目前，遠洋翔瑞及沃爾夫相關財務人員仍不配合審計工作，導致審計工作無法正常進行。
綜上，公司已在事實上失去對遠洋翔瑞及其子公司沃爾夫的控制。
