大昌微線集團(00567.HK)擬3500萬港元收購天安印刷包裝100%股權
格隆匯3月24日丨大昌微線集團(00567.HK)發佈公告，於2020年3月23日，公司全資附屬Perfect Design Limited作為買方、賣方天安印刷包裝（集團）有限公司及擔保人訂立買賣協議，買方擬收購目標公司天安印刷包裝有限公司100%股權，代價為港幣3500萬元。
目標集團主要包括目標公司及兩間營運附屬公司，即天安新高準及深圳新高準。目標公司持有天安新高準及深圳新高準各自的全部股權。目標集團於2016年由吳文燦先生及其配偶以港幣3100萬元的總代價收購。天安新高準主要從事印刷及包裝產品貿易業務。深圳新高準於2009年12月1日在深圳成立，主要從事印刷及包裝產品製造及貿易業務。
目標集團的製造基地位於深圳，總建築面積為約18,100平方米，由深圳新高準擁有。該製造基地配備主要自動化製造設備，包括五色及六色膠印機及全旋轉式標籤印刷機、熱箔燙印機、紙袋成型機、絲網印刷機、開槽模切機、紙面壓痕機等。製造基地的估計最大印刷能力為每小時逾25,000張，截至2019年3月31日止財政年度的利用率約為60%至70%。
公司稱，目標集團的印刷及包裝產品製造及貿易業務位於粵港澳大灣區，其客户主要來自香港及中國。多年來，隨着一系列營運戰略的實施（包括更多專注於毛利率更高的高品質印刷及包裝產品的銷售訂單、嚴格的成本控制措施以及透過投資於新型及先進的印刷及包裝設備來升級製造基地），目標集團已經創立自主品牌，建立了長期的忠誠客户羣，佔目標集團收入的50%以上。
公司管理層認為，目標集團的印刷及包裝業務將對集團現有業務產生協同效應。通過該新業務領域，公司將能夠為其現有客户提供印刷及包裝、品牌貼標及其他物流服務。由於集團現有船舶租賃業務，故公司管理層將進一步探討將現有船舶或租用船舶改作貨物運輸之用的可能性，以令集團可進一步利用自身資源將業務擴展至物流服務領域。
