三生製藥(01530.HK)大股東兼主席婁競質押公司股份進行再融資
格隆匯3月19日丨三生製藥(01530.HK)公佈，於2020年3月16日，公司從Decade Sunshine Limited（一家由公司的主席及首席執行官婁競博士控制的公司）得悉，Decade Sunshine（作為借款人）現有保證金貸款融資下的未償還款項應於2020年3月18日或之前繳付。就該還款義務及當前情況，Decade Sunshine已於2020年3月18日簽訂一項同意及修訂協議，以就保證金貸款下的未償還款項進行再融資，該協議以質押Decade Sunshine所持的該公司股份作為擔保。
Hillhouse Capital Advisors,Ltd.（公司的現有股東）透過旗下其中一個投資基金，已同意通過再融資保證金貸款以購買該貸款。就該再融資，Decade Sunshine有權以其現時持有公司約5%的股份以轉換並解除未償還貸款債務，Hillhouse Capital亦有權以未償還貸款轉換Decade Sunshine現時持有公司約5%的股份。完成Decade Sunshine就上述未償還保證金貸款的轉換（如該權利被行使）後，Decade Sunshine將仍是公司的最大股東。
截至本公告日期及在緊接該協議完成後，Decade Sunshine的持股保持不變（即5.99億股股份，佔公司已發行股本總數約23.61%）。根據該協議行使轉換權後，假設公司的已發行股本和股權結構應保持不變以及未償還款項將以交付公司股份形式全數付清，Decade Sunshine預計其在公司的持股將減少佔公司已發行股本總數約5%，而婁博士（通過Decade Sunshine和其他受控實體以及其他一致行動人士持有）的公司權益將佔公司已發行股本總數約27.24%。
根據上市規則附錄十第A.3段，公司董事於刊發財務業績當天及年度業績刊發日期之前60日內（禁售期）不得買賣公司的任何證券。由於公司暫定於2020年3月30日刊發截至2019年12月31日止年度的年度業績，因此，就Decade Sunshine所持的該公司股份進行質押及權利授予于禁售期內進行。
公司董事會認為，婁博士進行的上述交易將不會對集團的管理和運營產生任何重大影響。
