掌閲科技(603533.SH)：擬與百度在戰略投資、數字內容授權及深度戰略合作等方面開展合作
格隆匯3月17日丨掌閲科技(603533.SH)公佈，公司擬通過非公開發行股票的方式引進達孜縣百瑞翔創業投資管理有限責任公司(“百瑞翔投資”)作為戰略投資者，與百瑞翔投資和其母公司及關聯方(“百度”或“百度集團”)擬在戰略投資、數字內容授權及深度戰略合作等方面開展合作。
在認購完成後，百瑞翔投資將成為公司持股5%以上的股東，且將向公司提名一名董事，百瑞翔投資將成為公司的關聯法人；公司擬與百度集團在戰略投資、數字內容授權及深度戰略合作等方面開展合作，上述合作均構成關聯交易。
具體合作內容如下：
1、戰略投資合作。公司擬通過非公開發行A股股票的方式引進戰略投資者百瑞翔投資，百瑞翔投資以現金方式認購公司2020年非公開發行A股股票的全部股份，發行完成後，百瑞翔投資將成為持有公司5%以上股份的股東。
2、內容授權合作。掌閲科技同意在數字內容授權方面與百度集團展開合作，公司將可以合法授權或轉授權並可供百度集團平台使用的全部文字作品(以文字為主體內容，附帶了部分內容以有聲、圖片、漫畫等各種副媒體形式展現的作品也屬於文字作品)授權百度集團享有對授權作品信息網絡傳播權的非專有授權，授權作品在授權期限內的版權費用採用淨收入分成+保底的方式計算，保底授權金總額為每期每12個月人民幣1億元(含税)，共三期36個月，人民幣3億元(含税)。
3、深度戰略合作。(1)公司(包括掌閲內容公司)有權分發和授權或轉授權許可的任一掌閲集團公司的版權內容向百度及其關聯企業保持全量開放並優先支持百度及其關聯企業的版權內容採購需求，對百度及其關聯企業的合作條件和待遇不劣於任何第三方。在同等條件下，百度及其關聯方對前述版權內容（包括但不限於享有前述版權內容的優先改編權）可優先開發IP衍生產品。雙方之間的交易應當在合理、公允的原則下進行。雙方意願根據雙方的合作情況，共同探討盡力合理提升合作內容在百度的分發佔比和權重。
(2)在同等條件下，相對百度及其關聯方以外的任何第三方，百度在流量(包括搜索)、內容採購及開發、商業化、人工智能、大數據、軟件應用等方面給予公司優先支持。
(3)雙方將共同探討並大力發展數字閲讀內容生態，拓展優質IP的衍生形式，並建立定期交流機制。
(4)雙方基於各自資源和優勢，加強在線教育、智能硬件領域的合作。
(5)掌閲集團公司與百度聯盟開展商業化變現合作。
公司同百度集團在戰略投資、數字內容授權及深度戰略合作等方面的合作符合公司的長期發展戰略，對於強化數字閲讀主業、新業務拓展、提升管理水平等方面，有助於進一步提高公司整體競爭力。公司與百度的合作是在公平公允、互惠互利的原則下進行，有利於上市公司和中小股東的利益。
