吉宏股份(002803.SZ)變更經營範圍 涉第一類、第二類醫療器械及互聯網銷售等
格隆匯3月17日丨吉宏股份(002803.SZ)公佈，公司於2020年3月16日召開第四屆董事會第七次會議，審議通過《關於變更公司經營範圍暨修改公司章程的議案》，同意公司根據業務發展需要變更公司經營範圍，並對章程作相應修訂，同時授權公司管理層全權辦理工商登記等相關事宜。
原公司章程：第十三條經依法登記，公司的經營範圍為：“專業化設計服務；其他未列明專業技術服務業（不含需經許可審批的事項）；包裝裝潢及其他印刷；本冊印製；廣告的設計、製作、代理、發佈；塑料薄膜製造；其他塑料製品製造；其他未列明製造業(不含須經許可審批的項目)；其他化工產品批發(不含危險化學品和監控化學品)；其他未列明批發業(不含需經許可審批的經營項目)；其他未列明零售業(不含需經許可審批的項目)；印刷專用設備製造；其他專用設備製造(不含需經許可審批的項目)；其他未列明專業設備修理(不含需經許可審批的項目)；經營各類商品和技術的進出口(不另附進出口商品目錄)，但國家限定公司經營或禁止進出口的商品及技術除外”。
現修改為：第十三條經依法登記，公司的經營範圍為：“專業化設計服務；其他未列明專業技術服務業(不含需經許可審批的事項)；互聯網銷售；軟件開發；信息技術諮詢服務；其他互聯網服務(不含需經許可審批的項目)；第一類醫療器械零售；第一類醫療器械批發；第二類醫療器械零售；第二類醫療器械批發；包裝裝潢及其他印刷；本冊印製；廣告的設計、製作、代理、發佈；塑料薄膜製造；其他塑料製品製造；其他未列明製造業(不含須經許可審批的項目）；其他化工產品批發(不含危險化學品和監控化學品)；其他未列明批發業(不含需經許可審批的經營項目）；其他未列明零售業(不含需經許可審批的項目）；印刷專用設備製造；其他專用設備製造(不含需經許可審批的項目)；其他未列明專業設備修理(不含需經許可審批的項目)；經營各類商品和技術的進出口(不另附進出口商品目錄)，但國家限定公司經營或禁止進出口的商品及技術除外”。
除上述條款外，原公司章程中的其他條款內容不變。
該事項尚需提交公司2020年第一次臨時股東大會審議批准。
