信德集團(00242.HK)和香港中旅擬將各自渡輪和客運巴士業務合併 在大珠三角地區提供跨境運輸服務
格隆匯3月6日丨信德集團(00242.HK)宣佈，公司和香港中旅(各透過旗下附屬公司)於2020年3月6日訂立了三份協議，實施重組建議，冀將目標公司轉型成為全新的運輸平台，結合公司和香港中旅各自現有的渡輪和客運巴士業務，在大珠三角地區(包括大灣區)提供跨境運輸服務。重組建議完成時，目標公司將由Interdragon(公司非全資附屬公司)持有50%，Dalmore(香港中旅全資附屬公司)持有50%，而中旅旅運和協能投資將由目標公司全資擁有。
重組建議包括：(i)出售目標公司的交易，(ii)收購中旅旅運的交易，以及(iii)出售協能的交易，預期三者將同步完成。
目標公司Shun Tak – China Travel Shipping InvestmentsLimited(信德中旅船務投資有限公司)是一家在英屬維爾京羣島註冊成立的有限公司，重組建議完成前，目標公司與其附屬公司是經營往來港澳及大珠三角地區其他目的地之間的高速客輪服務的主要營運商。中旅旅運是與其附屬公司主要從事跨境陸路運輸服務和其他相關業務的營運。香港中旅對中旅旅運的初始投資總額為8港元，另加約1.6億港元股東貸款。協能投資通過其投資的公司，主要在澳門提供跨境客運巴士服務和旅行社服務。
公司和香港中旅冀將各自現有的渡輪和客運巴士業務合併入目標公司的旗下，鞏固且擴展目標公司的多模式運輸平台，提升目標公司的獨特優勢，進深鞏固其競爭力。預計重組建議將可締造協同效應，進一步增強目標公司在大珠三角地區提供跨境運輸服務的發展，實現中國中央政府2019年2月頒佈的《粵港澳大灣區發展規劃綱要》的策略目標。《粵港澳大灣區發展規劃綱要》是中國國策，列明瞭大灣區發展的指導方向，指定廣州、香港、澳門和深圳為推動區域發展的核心城市，而目標公司和中旅旅運正正是四區的主要運輸營辦商。此外，隨着大灣區內的運輸網絡改善，便利區內交通流動，拉近城市之間的距離，目標公司可以從大灣區內經濟一體化、社會互動、地區之間在政府法規有利支持下加強合作所帶來的增長機會而直接受惠。
在上述城市的優勢互補並進深合作下，大珠三角地區(特別是大灣區)擬發展成為國際一級的旅遊灣區。公司預計，大珠三角地區港口羣的運輸網絡、整體吞吐量和競爭力將會大幅提升，因此大珠三角地區的發展將帶來偌大商機。
