博彙紙業(600966.SH)股價連續3個大漲 除已披露的控制權變更及要約收購外不存在未披露的重大信息
格隆匯3月9日丨博彙紙業(600966.SH)公佈，公司股票於2020年3月5日、2020年3月6日、2020年3月9日連續3個交易日收盤價格漲幅偏離值累計超過20%，根據《上海證券交易所交易規則》的有關規定，屬於股票交易異常波動。
2020年1月6日，公司實際控制人楊延良先生及其配偶李秀榮與金光紙業(中國)投資有限公司(“金光紙業”)簽署《股權轉讓協議》，擬轉讓其持有的公司控股股東山東博彙集團有限公司(“博彙集團”)100%股權。此次股權轉讓尚需履行國家市場監督管理總局經營者集中審查、發展和改革委員會外商投資安全審查(如需)、商務部門備案(如需)以及工商管理部門登記等手續。若此次股權轉讓實施完成，公司控股股東仍然為博彙集團，公司實際控制人將由楊延良變更為黃志源。
2020年1月8日，公司披露了金光紙業出具的《山東博彙紙業股份有限公司要約收購報告書摘要》及《山東博彙紙業股份有限公司關於收到要約收購報告書摘要的提示性公告》，金光紙業向公司除博彙集團及金光紙業控股子公司寧波亞洲紙管紙箱有限公司之外的其他所有持有公司上市流通普通股(A股)股東發出的全面要約，本次要約收購不以終止公司上市地位為目的。
2020年3月7日，公司披露了《關於要約收購的進展公告》。目前金光紙業提交的經營者集中反壟斷審查材料已由國家市場監督管理總局反壟斷局受理，審查工作尚在進行之中，仍存在不確定性。
經公司自查，並向控股股東及實際控制人核實，除以上已披露的事項外，截至公告披露日，上市公司及其控股股東、實際控制人均不存在應披露而未披露的重大信息，包括但不限於重大資產重組、股份發行、收購、債務重組、業務重組、資產剝離、資產注入、股份回購、股權激勵、破產重整、重大業務合作等重大事項。
公司董事會確認，截至2020年3月9日，除已披露的公司控制權擬變更事項及要約收購事項外，公司沒有任何根據上海證券交易所《股票上市規則》等有關規定應予以披露而未披露的事項或與該事項有關的籌劃、商談、意向、協議等，董事會也未獲悉公司有根據《股票上市規則》等有關規定應披露而未披露的、對公司股票及其衍生品種交易價格產生重大影響的信息；公司前期披露的信息不存在需要更正、補充之處。
