國林科技(300786.SZ)擬收購賀力德部分股權並增資 持股升至70.2328%
格隆匯3月5日丨國林科技(300786.SZ)公佈，為進一步優化資源配置，提高公司盈利能力，公司擬用自有資金收購控股子公司有青島賀力德低温科技有限公司(賀力德)部分股權並增資，此次交易完成後，公司持有賀力德股權比例由51%增加至70.2328%，公司合併報表範圍不發生改變。賀力德註冊資本由500.45萬元變更為1500.45萬元。
此次交易為兩部分：第一部分為公司以40.45萬元受讓舒先軍持有的賀力德此次增資前7.2164%股權(對應此次增資前對賀力德的出資額36.11萬元)，以67.35萬元受讓李懷慶持有的賀力德此次增資前12.0164%股權(對應此次增資前對賀力德的出資額60.14萬元)；
第二部分為賀力德各股東按照同比例對賀力德增資，公司以自有資金702.33萬元認繳賀力德新增註冊資本702.33萬元，李懷慶以自有資金148.84萬元認繳賀力德新增註冊資本148.84萬元，舒先軍以自有資金148.84萬元認繳賀力德新增註冊資本148.84萬元，此次增資款全部計入賀力德註冊資本。此次交易完成後，公司持有賀力德70.2328%的股權。
青島賀力德低温科技有限公司經營範圍：實驗室設備、儀器儀表、電器產品、電子產品、自動化控制設備的開發、生產、銷售和售後服務，低温設備、冷藏冷凍設備及其配件的生產及技術研發、技術諮詢、技術服務與技術轉讓(以上項目不含特種設備)，網絡綜合佈線工程施工，計算機系統集成，計算機軟件開發，以上貨物及技術的進出口(國家法律法規禁止的項目除外，國家法律法規限制的項目取得許可後方可經營，依據城建委、質監局、安監局、消防局、環保局頒發的許可證從事經營活動)。(依法需經批准的項目，經相關部門批准後方可開展經營活動)。
此次交易旨在公司進一步加強對子公司的管控力度，推進公司發展戰略，提高決策效率，符合公司整體發展戰略規劃。此次收購所需資金均為公司自有資金，不會對公司財務狀況和經營狀況產生重大不利影響，不存在損害上市公司及中小股東利益的情形。此次交易完成後，公司對賀力德的持股比例由51%增加至70.2328%，賀力德仍為公司控股子公司，不會導致公司合併報表範圍發生變化。
