銅陵有色(000630.SZ)：銅冠銅箔增資擴股引入投資者合肥國軒並簽署增資協議
格隆匯3月5日丨銅陵有色(000630.SZ)公佈，公司於2019年11月12日召開八屆十八次董事會，審議通過了《關於全資子公司銅冠銅箔增資擴股暨引入戰略投資者的議案》，公司全資子公司安徽銅冠銅箔有限公司(“銅冠銅箔”)通過公開掛牌增資擴股項目，引入一名戰略投資者，註冊資本由6億元增加至約6.22億元，新增投資方佔銅冠銅箔增資後的股權比例為3.50%，對應增資價格為不低於約1.03億元。
銅冠銅箔增資擴股項目於2019年12月11日在安徽長江產權交易所有限公司(“長江產交所”)公開掛牌，掛牌截止日期為2020年2月26日。2020年2月28日，公司收到了長江產交所《資格審查結果通知書》，經公開徵集，產生一名意向投資者合肥國軒高科動力能源有限公司(“合肥國軒”)，經審查確定合肥國軒為銅冠銅箔增資項目的“合格意向投資方”。2020年2月29日，公司收到長江產交所《增資交易結果通知書》，唯一的“合格意向投資方”合肥國軒為銅冠銅箔增資項目的新增投資方，新增投資方對本次增資項目的增資認購價約1.03億元。
2020年3月5日，公司召開八屆十九次董事會，審議通過了《關於子公司銅冠銅箔公開掛牌增資擴股引入投資者結果暨簽署增資協議的議案》，同意此次增資交易結果，同意新增投資方合肥國軒以其持有合肥銅冠國軒銅材有限公司11.25%股權加679.5萬元現金作為增資價款的出資方式，並授權公司經營管理層全權辦理相關事宜。2020年3月5日，公司、銅冠銅箔與合肥國軒簽署了《增資協議》。
銅冠國軒原為銅冠銅箔控股子公司，銅冠銅箔持有銅冠國軒88.75%股權，合肥國軒持有銅冠國軒11.25%股權。此次增資完成後，銅冠國軒將變更為銅冠銅箔全資子公司。下一步將對銅冠國軒進行股東變更、公司名稱變更等工商登記。
此次增資擴股有利於公司進一步做強做大銅箔產業，合肥國軒作為國內鋰電池知名生產企業，也一直是公司鋰電箔的主要客户，將合肥國軒引入銅冠銅箔，可以進一步形成協同效應，互利共贏，發展壯大公司鋰電銅箔業務。此次增資不存在損害公司及股東利益的情形。增資完成後，銅冠銅箔仍為公司控股子公司，合併報表範圍不發生變化。
