可立克(002782.SZ)：美國LED照明燈具仲裁案預計減少2019年度淨利6600萬元
格隆匯2月26日丨可立克(002782.SZ)公佈，本次仲裁的申請人為一家位於美國的户外燈具製造商。公司自2011年6月起與申請人簽訂合作協議，開始合作關係，根據雙方簽訂的協議，由公司向申請人提供電源類組件，用於申請人生產的LED照明燈具中。申請人燈具產品後來出現品質問題，申請人以公司提供的電源組件工藝問題為由，於2016年10月單方面終止合同，並停止支付貨款。經反覆商談，雙方未達成一致意見。期間，公司多次向申請人催付貨款未果，公司已於2016年度對本次糾紛所涉及的相關應收賬款及存貨計提足額跌價準備，並對可利用的部分存貨進行處理，不存在未處理餘額。
2018年4月，申請人以公司違反雙方簽訂的合作協議為由，向國際商會仲裁院(The International Chamber of Commerce International Court of Arbitration，以下簡稱“ICC”或“仲裁庭”)提出仲裁申請。公司於2018年4月13日收到ICC送達的仲裁通知(23530/MK)及申請人遞交的仲裁申請文件。本次仲裁由ICC於2018年4月4日受理，仲裁地為紐約，爭議準據法為紐約法。
美國當地時間2020年2月25日，仲裁庭就本案作出裁決，認為申請人索賠中聲稱的損失中的大部分(i)因其自身設計原因導致、及/或(ii)根據雙方合同及紐約法不能成立，故不應由公司承擔。但由於案涉產品的質量標準和客户約定的不一致，仲裁庭裁決公司仍需承擔申請人燈具的部分損失，共計761.54萬美元以及利息177.15萬美元，合計938.69萬美元；仲裁費用由雙方平均分擔，雙方就本案各自承擔各自的律師費用。仲裁庭同時駁回公司的仲裁反請求。本次仲裁裁決是本案仲裁的終局裁決。
根據公司財務部初步測算，本次仲裁事項將會減少公司2019年度淨利潤約6600萬元人民幣，預計不會導致公司2019年度淨利潤出現虧損，具體數據以公司審計機構的審計結果為準。本次仲裁結果對公司2019年度業績影響較大，公司將於2月底披露2019年度業績快報。
