波司登(03998.HK)溢價27.5%發2.75億美元CB還債,但該股三連跌,今早高開1.8%報3.92元欠承接,掉頭失守10天及50天線(3.8元),最低見3.48元,現造3.54元,倒跌8%,成交急增至7,569萬股,涉資2.7億元。
波司登公布,與獨家全球協調人花旗及聯席賬簿管理人中金香港訂立認購協議,計劃發行2.75億美元五年期年息1%可換股債券(CB),初步轉換價為每股4.91元(較昨天收市價溢價27.5%),若獲悉數行使,涉及逾4.38億股或佔擴大後股本3.89%。波司登認為,發行CB可以較低融資成本為公司提供額外資金,以償還現有短期債務,繼而優化公司融資結構,並為公司一般企業及業務用途提供資金。(sz/t)~
